Job Description The Executive Legal Assistant supports Human Technologies' mission of Creating Employment for People with Disabilities by managing contract review, general counsel correspondence, legislative research, Board Governance and other duties for the President/CEO. Requirements Responsibilities: Perform initial review contracts from customers, vendors, and contractors to provide initial assessment of requirements and propose changes to mitigate risk.2. Perform initial assessment of the requirements contained within Request For Quote (RFQ) from the US Department of State (DOS) as it pertains to product requirements, warranties, shipment requirements and other requirements.3. Review solicitations from federal customers to assess impact of Federal Acquisition Regulations (FAR) and to clearly define the requirements necessary to meet them.4. Collaborate with purchasing and business development teams to determine if supplier responses comply with the RFQ specifications.5. Provide executive level administrative support to the company's outside General Counsel.6. Report and work directly with outside General Counsel to keep things organized, maintain legal documents, contracts, meet deadlines for time sensitive issues.7. Conduct research to gather pertinent information and stay updated on relevant regulations.8. Review and monitor legislation and regulations that potentially affect the company's operations and processes.9. Update company leadership with analysis and summaries of new legislation that can affect the company.10. Provide governance and oversight for compliance with regulations.11. Prepare and/or review documents for corporation formations and mergers and acquisitions. Maintain and file corporate records, including resolutions, board of director changes, and annual reports.13. Provide support for outside General Counsel in matters related to litigation, mediation, arbitration, and responses to complaints and discovery requests. Function as liaison between the Board of Directors and CEO; cause notice of meetings of the Board and committees to be given to the members and work with Chairs to develop and distribute agenda.15. Attend Board meetings; take and transcribe minutes at Board and Board Committee meetings for approval.16. Prepare agendas; attend meetings and transcribe correspondence from handwritten notes and/or machine dictation and maintain extensive office file systems.17. Serve as custodian ofall records of the Board: file, index, and preserve complete records, electronic and written, including all minutes, contracts, and documents pertaining to the business and proceedings of the Board and its committees.18. Assist with the revision and compilation of documents and presentations to the Board and other external audiences.19. Attest the execution of all legal documents and instruments of the corporation when required.20. Actively participate in corporate safety by following all safety procedures, creating a safe working environment and practicing and training employees in safe and proper work habits and equipment use.21. Perform other duties as assigned by the President/CEO. Qualifications: Associate's degree or higher in Paralegal Studies, Legal Studies, or a related field.2. Certification from an accredited paralegal program preferred.3. New York State Notary Public preferred4. Knowledge of Federal Acquisition Regulations (FAR) preferred.5. Minimum of 2 years of experience as a paralegal or in a similar legal support role.6. Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal research databases.7. Strong organizational and multitasking skills.8. Excellent written and verbal communication skills.9. High attention to detail and accuracy.10. Ability to work independently and as part of a team.11. Discretion in handling confidential information.
