Represent issuers, funds, banks and other financial institutions in convertible and exchangeable note issuances and related hedging overlays, equity options, swaps, structured repurchase transactions, equity forward issuances, margin loans secured by positions in public companies, and other hedging and monetization transactions. Advise clients on the structuring, negotiation and execution of these transactions. Negotiate, review, and prepare primary transactional documentation in connection with over-the-counter products, including accelerated share repurchase confirmations and variable prepaid forward confirmations. Negotiate, review, and prepare primary transactional documentation in connection with equity-linked securities and related offerings and hedging transactions, including convertible and exchangeable note offering memoranda, call spread and capped call option confirmations and related side letters and issuer forward confirmations. Negotiate, review, and prepare primary transactional documentation in connection with margin loan transactions, such as margin loan agreements, security and pledge agreements, account control agreements, capital call confirmations and fee and ratio letters. Address client inquiries and liaise with specialists and counsel to counterparties.$260,000 per year REQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 3 years of experience in position or 3 years of alternate occupational experience performing complex equity derivatives transaction legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable. Minimum Salary: 260000 Maximum Salary: 260000 Salary Unit: Yearly
