Represent investment funds and private equity funds in tax matters relating to the formation, structuring and ongoing operations of such funds and the structuring and negotiation of tax aspects of private fund investments. Represent international and domestic banks, investment funds and public and private companies in tax matters relating to debt financings and securities offerings. Advise fund sponsor clients in structuring for international and domestic investors and operating sponsor-level arrangements. Review and assess proposed transaction and fund structures from a tax perspective, including analyzing potential international and domestic tax implications for clients and proposing alternative arrangements. Negotiate, prepare and revise tax-related provisions or sections in transactional documentation, including term sheets, operating agreements, investor side letters, credit agreements, securities offering memoranda or prospectuses, indentures and merger or purchase agreements. Prepare, review and revise tax opinions. Perform and summarize numerical analysis regarding the passive foreign investment company status of non-U.S. companies. Liaise with local tax counsel and accounting firms regarding transaction-specific local tax analysis and related provisions in primary transactional documentation.$365,000 per yearREQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 2 years of experience in position or 2 years of alternate occupational experience performing complex cross-border transactional tax advisory legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable. Minimum Salary: 365000 Maximum Salary: 365000 Salary Unit: Yearly
