A national professional services corporation seeks an experienced Corporate Paralegal - Governance to join their team. The position is located in Piscataway, NJ and can be a fully remote opportunity. The base salary $85K, depending upon experience.Primary DutiesThe Corporate Paralegal - Governance role reports to the Sr. Director, Corporate Governance and will have indirect oversight from other Corporate Governance managers based on project assignments. While this role does not have any direct reports, they have an indirect influence on the work of others both within and outside the Corporate Governance team. "‹"‹"‹"‹"‹"‹ will support the operations related to Board committee and ad hoc committee administration and meetings, review, and maintain governing documents, assist with financial processes, and aid with other volunteer and staff communications. This is a complex, detail-oriented, sensitive, collaborative, and fast-paced support function that requires strong project management skills. Additional duties include the following:Specific duties include but not limited to:Serves as a governance generalist to assist projects from each of Corporate Governance's functional areas: Governance Committee; Board of Directors; Assembly; Nominations & Appointments; Ethics and Member Conduct; and Elections.Maintains, updates, publishes, and disseminates the company's governing documents through various communication methods.Creates and maintains internal procedures such as archiving of committee materials, documents, addenda files, and related timelines and processes.Manages the website and internal webpages to ensure Corporate Governance's information is timely, relevant, and accurate; this involves communicating with staff from various areas, developing improvements, implementing changes, creating and posting content, and working with IT and the company's Web Team.Coordinates all aspects related to Board, Committee, and Working Group surveys.Provides general administrative support to the department staff and committees and other ad hoc committees as assigned, including the creation of agendas, minutes and archival documents, and all aspects of meeting planning and on-site support.Reconciles and approves volunteer expense reports.Conducts governance-related research such as best practices, industry standards and benchmarking, operations and governance structure of organizations similar to the company's, and past actions of the company's Board of Directors.Manages other activities and projects as assigned to accomplish the organization's goals."‹"‹"‹Requirements:Bachelor's degree or equivalent experience.2-4 years experience working in an association governance environment or in the corporate/board affairs environment of a corporation preferred.Experience in interaction with senior management or senior level volunteers preferred.Must have the willingness to earn Certified Association Executive (CAE) or other relevant credentials preferred.Demonstrate the ability to negotiate, persuade and problem-solve politically charged, sensitive situations with little guidance. A commitment to providing a world-class level of customer satisfaction is imperative.Familiarity with documenting project requirements, project plans and processes.Demonstrated ability for effectively and efficiently working with and supporting committees/groups for high-impact results.Excellent interpersonal skills and must be able to collaborate with cross functional teams.Must be able to take the lead and work on multiple projects concurrently in a deadline-oriented environment, be able to handle sensitive, confidential information, and ensure that there is good coordination between project stakeholders.The individual must have excellent verbal and written communication and motivational skills to enable and empower volunteer committee efforts in support of assigned projects.Excellent organizational skills, ability to manage several projects simultaneously and comfortable working under tight deadlines.Must demonstrate the highest degree of professionalism when dealing with sensitive and/or confidential matters.Must be a technologically savvy knowledge worker who seeks out technology solutions to business challenges.
