This is an exceptional opportunity for a skilled paralegal to contribute to high-profile transactions and work alongside some of the leading minds in corporate law.Responsibilities:Conduct comprehensive legal research on relevant corporate statutes, regulations, and case law.Draft and finalize sophisticated legal documents, including stock purchase agreements, merger agreements, financing documents, and corporate resolutions.Assist attorneys with corporate transactions, such as mergers, acquisitions, divestitures, and securities offerings.Advise on and ensure compliance with corporate governance best practices and legal requirements.Assist with entity formation and management, including filings with the Texas Secretary of State and other regulatory bodies.Manage and maintain corporate records electronically and in hard copy, ensuring exceptional organization and attention to detail.Facilitate communication with clients, board members, and other professionals involved in transactions.Perform other legal and administrative tasks as assigned.Maintain a high level of accuracy and efficiency in all work performed.Qualifications:Associate's degree in Paralegal Studies or a related field, and a minimum of 3 years of experience as a corporate paralegal.Proven track record of success in legal research, writing, and transaction -depth understanding of corporate law principles, including mergers and acquisitions, securities regulation, and corporate governance.Experience drafting complex legal documents for corporate transactions.Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).Experience with legal research databases a plus.Excellent organizational skills, with a meticulous eye for detail.Ability to manage multiple tasks effectively and meet deadlines in a fast-paced environment.Strong communication, interpersonal, and client service skills.Ability to work independently and take initiative, while also collaborating effectively with attorneys and other team members.Professional demeanor and appearance.Benefits:Competitive salary and benefits package.Opportunity for professional development and growth within a dynamic corporate practice.Collaborative and supportive work environment with a commitment to excellence.Pay Details: $80,000.00 to $125,000.00 per yearSearch managed by: Nkechi Mabray Equal Opportunity Employer/Veterans/DisabledTo read our Candidate Privacy Information Statement, which explains how we will use your information, please navigate to Company will consider qualified applicants with arrest and conviction records subject to federal contractor requirements and/or security clearance requirements.
