This role will report to the Chief Legal Officer.You will be a critical, highly visible and impactful member of the legal department and a true partner to the business. This is a role in which you will interact daily with Sales leaders, partners, outside counsel, senior executives and other internal clients across multiple functions and organizations.This role is 'hands-on' and requires that you provide a variety of commercial and contractual advice and legal services to internal clients, with a primary focus on enabling the go-to-market activities of the company and supporting the company's continued growth and expansion.Our expectation is that you will evaluate the commercial legal support needs of the business and continue to build and manage a team of legal professionals to meet those needs. You will also provide support for key business initiatives and drive transactional process improvements.What you'll be working onReview, draft, and negotiate commercial agreements, including non-standard SaaS agreements, customer agreements, partner agreements, re-seller agreements, data processing agreements, professional services agreements, business associate agreements, intellectual property licenses, inbound services agreements, and statements of work.Assist with the management of a variety of other legal issues, including privacy, compliance (export control and anti-corruption) and intellectual property (licensing) matters.Partner with Finance and Sales operations teams to ensure agreements are consistent with internal policies and processes and provide training on such policies and processes.Support and advise sales teams on deal process and contract managementEvaluate existing commercial contract processes and work to drive process improvement and scalabilityAdvise business clients, including Finance, and other company functions, on the legal issues and risks, approval processes, company policies, procedures, IP, and business strategyRespond promptly to legal requests from customers and sales teams, professional services teams, marketing and other key stakeholdersAssist with standardization of documentation across multiple jurisdictionsSupport the resolution of a range of other issues as they arise, from corporate transactions to dispute resolution and moreConduct due diligence with respect to M&A transactions and provide pre-and-post acquisition support, including integration of new businesses and harmonization of business modelsWhat you bring to the role15+ years of relevant legal experience at a leading law-firm and/or in-house experience, with a minimum of 5 years of leadership experience in building, running and/or developing high performing teams. Experience with enterprise software and SaaS businesses is requiredBusiness acumen, with the demonstrated ability to balance business needs and legal risksSolid knowledge of business process relating to commercial (both direct and channel sales), contract, intellectual property and data privacy lawAbility to build strong working relationships with internal team members throughout the companyAn experienced team leader, ready to drive results and develop successful legal professionals, preferably with experience managing legal professionals across geographiesJD and excellent academic credentialsState Bar admission and good standing status (licensed to practice in California and/or familiarity with California law a plus)Excellent negotiation, drafting, and analytical skillsSound judgment to interpret complicated matters and communicate effectively with key stakeholders towards resolutionAbility to prioritize and manage time, and client expectations, in the face of competing demandsHave a strong work ethic and sense of professionalism and discretion, demonstrating accountability, integrity, good judgment and respect for confidentialityBe able to operate autonomously while being a team player who brings a positive, 'get things done' attitude to the workplace and works collaboratively with internal and external clientsProfessional Skills and ExperienceSubstantial experience relating to software and SaaS centric issues, such as revenue recognition, tax, privacy, security, GDPR, intellectual property rights, etc., preferably with US and international enterprises and public sector entitiesAbility to draft and negotiate business associate agreements, data processing agreements, and other privacy-related documentationAble to evaluate and drive process and document change, where needed to accomplish business results.Willingness to initiate and augment processes to scale the department to meet the needs of the business, including assessment of legal technologyAble to provide training to the sales and services teams on processes, compliance and new legislation.Whatyou'll get from usA team where you can voice your opinion, make an impact, and where you and your experience are valued. The anticipated on-target earnings range for this role is $235,000 - $300,000. We recognize that cost-of-living disparities, market conditions, and other factors can significantly impact compensation expectations in different regions.
