This position can be located either in the Ontario, Los Angeles or Sacramento, California office locations. The position requires 3 days in the office and the ability to work from home Mondays and Fridays. Summary The Contracts Manager shall be able to independently review, coordinate and process all Owner/Architect Agreements, with potential involvement in reviewing and coordinating Consultant Agreements, Independent Contractor Agreements, and Certificates of Insurance. This position holds a high level of discretion and confidentiality and must exhibit strong written/verbal communication with a strong knowledge of the architectural industry. Position Responsibilities * Support HMCs Legal team in support of managing risk through effective contract reviews and negotiations * Keep all co-workers, senior management and all external stakeholders informed of changes in contracting process/procedures in department and company * Directly engage and coordinate with HMC management, clients, consultants, independent contractors regarding contract terms * In partnership with General Counsel and other senior management, lead and support contracting initiatives across the firm * Lead in the review/redline process and negotiations of agreements with clients (both owners and design/builders), client representatives, and consultants * Coordinate with General Counsel and Sr. Contracts/Risk Administrator to update and maintain the Echo/Intranet group/department pages as necessary * Produce and provide detailed analysis to process all owner and consultant agreements for HMC, and lead the negotiation process with assistance from General Counsel and/or Sr. Contracts/Risk Administrator * In coordination with General Counsel, Sr. Contracts/Risk Administrator and Contracts Coordinator, assist in the implementation of a software platform (currently DocuSign) to develop and maintain a system to streamline the tracking of various contracts * Promptly respond to Principals in Charge, Project Managers/Senior Project Managers or client and consultant needs and or feedback, for contracts reviews at various stages * Participate, lead and/or assist General Counsel and Sr. Contracts/Risk Administrator with contract analysis, including but not limited to, the preparation of risk assessments, redlining and direct negotiations with the client, client representatives, and explanations for key internal participants * Support Marketing with RFP related inquiries related to contract provision requests, litigation history or other legal questions requiring our support * Read and review legal reports and documents; draft letters and documents; collect and analyze information * Organize video meetings and conference calls as needed; record meeting discussions; maintain transcripts * Other duties as assigned Position Requirements * AA or B.A./B.S. in law, contracts, or related field, or equivalent work experience, with particular knowledge of the architectural profession * Minimum 5 years of experience in a paralegal or contracts administration work, with general knowledge of business law concepts and reporting requirements * Demonstrates a high degree of architectural industry knowledge as well as all relevant business law concepts * Computer experience and proficiency in Adobe Acrobat, Microsoft Word and Excel * Proficiency in strong verbal/written skillset * Excellent organizational, time management and prioritizing skills * Writes clearly and informatively, edits work for spelling and grammar, able to explain and interpret contract law concepts to internal clients * Ability to establish productive working relationships effectively, and cooperatively with people at all levels including, senior management, clients, consultants, attorneys and other insurance personnel * Shares information openly and effectively, using good interpersonal and written skills via appropriate communication channels * Able to work independently and collaboratively and maintain confidentiality * Responds positively to changes in work environment; demonstrates flexibility in responding to work demands * Has the ability to adapt to change and to develop new ideas and approaches * Utilizes resources, establishes priorities, and organizes work to meet/complete required deadlines * Awareness and incorporation of key policies or standard operating procedures related to the execution of sound contracts review and negotiation process * Displays good work ethics - punctuality and attendance are mandatory * High level of detail orientation and advanced knowledge of proper legal grammatical structure and legal concepts * Demonstrates a working knowledge of specific discipline of processes and procedures to identify and resolve issues in a timely manner * Gathers and analyzes information skillfully, able to conduct legal research, uses intuition and experience to maintain goal driven outcomes * Understands and is proficient in the use of job-specific tools and adheres to HMCs policies and procedures in the production of work The salary range for this position is $85,065 to $127,281 The actual offered salary for this position will vary depending on multiple factors including the candidates qualification, education, position knowledge, work experience, skills, ability, work location, and internal incumbent compensation for similar roles. We do not anticipate individuals hired into this position will start at or near the top half of the range listed; the decision will be based on each individual case. The salary range listed above does not include other compensation elements such as discretionary bonus opportunities, employee stock ownership grants, paid time off, medical insurance, and other wage and benefit opportunities.
