A prestigious law firm is seeking a highly skilled and motivated mid-level associate to join its renowned Corporate M&A practice. This position is ideal for an attorney with 3-5 years of experience in mergers and acquisitions (M&A), particularly those with a focus on technology or life sciences sectors. The firm has a stellar reputation in handling complex M&A transactions, including large-scale deals worth billions, with clients ranging from emerging startups to publicly traded global corporations. The successful candidate will contribute to high-profile transactions and work alongside top-tier professionals in a dynamic and fast-paced environment. Location: Washington, D.C. Duties: Provide legal counsel and support for complex M&A transactions, including structuring, drafting, and negotiating agreements. Advise clients on strategic corporate matters, including corporate governance, due diligence, and regulatory compliance. Draft and review legal documents such as acquisition agreements, financing agreements, and corporate filings. Collaborate with clients, senior attorneys, and external advisors to ensure successful and timely execution of transactions. Manage client relationships and communicate effectively with clients, stakeholders, and team members. Conduct legal research and analysis on M&A-related matters, providing actionable insights and recommendations. Participate in strategic planning sessions and contribute to business development efforts. Requirements: 3-5 years of M&A experience at a leading corporate law firm or in-house legal department. Active member of the bar in the jurisdiction where the candidate will work, or eligible to sit/waive into the next bar exam. Proven experience in handling complex M&A transactions, with a focus on due diligence, negotiation, and deal structuring. Strong academic credentials from a top-tier law school. Excellent written, oral, and interpersonal communication skills. Experience with or an interest in working with technology and life sciences companies is preferred. Ability to work independently and collaboratively in a fast-paced environment. Strong attention to detail and problem-solving skills. Education: J.D. from an accredited law school. Certifications: Active bar membership in the jurisdiction where the candidate will work, or eligibility to sit/waive into the next bar exam. Skills: Expertise in mergers and acquisitions, corporate law, and corporate governance. Proficiency in drafting and negotiating complex M&A agreements. Strong research, analytical, and problem-solving skills. Ability to manage multiple tasks and prioritize effectively under tight deadlines. Excellent interpersonal skills and ability to build client relationships. Strong attention to detail with the ability to spot potential legal issues.
