Duties: Provide legal counsel and support for complex M&A transactions, including structuring, drafting, and negotiating agreements. Advise clients on strategic corporate matters, including corporate governance, due diligence, and regulatory compliance. Draft and review legal documents such as acquisition agreements, financing agreements, and corporate filings. Collaborate with clients, senior attorneys, and external advisors to ensure successful and timely execution of transactions. Manage client relationships and communicate effectively with clients, stakeholders, and team members. Conduct legal research and analysis on M&A-related matters, providing actionable insights and recommendations. Participate in strategic planning sessions and contribute to business development efforts. Requirements: 3-5 years of M&A experience at a leading corporate law firm or in-house legal department. Active member of the bar in the jurisdiction where the candidate will work, or eligible to sit/waive into the next bar exam. Proven experience in handling complex M&A transactions, with a focus on due diligence, negotiation, and deal structuring. Strong academic credentials from a top-tier law school. Excellent written, oral, and interpersonal communication skills. Experience with or an interest in working with technology and life sciences companies is preferred.
