Base pay range $190,000.00/yr - $225,000.00/yr Senior Human Resources Generalist - FORMA Brands We are a dynamic, forward-thinking beauty brand that thrives at the intersection of beauty and digital innovation. Dedicated to empowering self-expression and beauty through our high-quality, accessible products. Location: San Francisco or Los Angeles; hybrid position with three days onsite at corporate office. Summary of Position: FORMA seeks an experienced Senior Counsel to work directly with the Chief Legal Officer and assist with various legal matters. You will be responsible for a wide range of tasks, including review of Forma's contracts and developing a playbook of form agreements. Managing the CLM system and coordinating internal approvals and signatures. Assist with intellectual property (IP) enforcement, prosecution, and maintenance and with licensing matters. Coordinate with external IP counsel to maintain database and calendar and to provide evidence of commercial usage of FORMA's trademarks. Provide litigation/dispute support, including taking an active role in developing initial answers to interrogatories, requests for admissions, document requests, and responding to subpoenas that are served upon FORMA. Develop a litigation database to track and maintain matters, prepare necessary reporting, and ensure timely processing of outside counsel and vendor invoice payments. Maintain legal entity compliance and registration and reporting initiatives, including state registrations and annual filings, registered agent relationships, business licenses and permits, etc. Help prepare materials for board meetings and assist Chief Legal Officer. Assist with corporate governance development and compliance efforts. Organize, maintain, and update FORMA's legal and contract databases. Assist with overflow projects and responsibilities in the Legal Department, as needed. This new position will work closely with the marketing, commercial, finance, regulatory, quality, people and operations functions and reports to the Chief Legal Officer. Principal Accountabilities: Provide high caliber, proactive legal and risk management advice to executives, managers, and employees with respect to a range of legal issues affecting the business. Devise practical, business-oriented solutions and alternatives designed to mitigate risk and maximize business opportunities. Review, draft, and negotiate a variety of commercial contracts, including marketing and sales, distribution, procurement, services, licensing, construction/engineering, private label manufacturing, and confidentiality agreements, along with ancillary legal documents. Develop standardized contract templates and policies designed to efficiently support FORMA Brands' business operations. Advise and strategize on intellectual property matters, including trademark, trade secret and patent protection. Assist in the development of legal, compliance and operational policies and guidance documents. Support global privacy compliance. Advise the company on legal issues facing international operations. Advise and support other business units from time-to-time. Handle other corporate matters (employment, real estate, etc.) as they arise. Assist with M&A diligence and integration of transactions. Perform other job functions as assigned. Key Working Relationships: People Team Regulatory ELT Finance Commercial Operations IT Required Skills & Experience: 8+ years of associate experience with an in-house legal department and top law firm. Juris Doctor (JD) degree from a top law school. Excellent interpersonal, analytical, communication, negotiating, drafting, and problem-solving skills. Very strong attention to detail. Sound judgment with the ability to balance legal risk and business impact in a fast-paced environment. Ability to work well with a small, tightly knit team, and the range to deal effectively with everyone across the organization from senior management to warehouse personnel. Ability and desire to seek responsibility, work autonomously and exercise independent judgment in performing the job. Must be able to handle multiple projects simultaneously with strong follow-up. Consumer products and beauty industry experience and/or interest. Proficient in Microsoft Office suite including Outlook, Word, PowerPoint, Excel. Member in good standing of the California State Bar. Experience with international businesses a plus. Must exhibit excellent judgment and strategic thinking, providing practical, proactive solutions designed to meet legal and regulatory requirements while balancing business needs. Outstanding verbal, interpersonal and written communication skills. Demonstrated track record of consistently meeting and/or exceeding performance expectations. Physical Requirements: Must be able to perform essential functions (with or without accommodation) without posing a "direct threat" to the health and safety to self or others. Additional Information: FORMA Brands takes a market-based approach to pay, and amounts will vary depending on your geographic location. The salary range reflected here is for positions based in the San Francisco Bay Area. The successful candidate's starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. These ranges may be modified in the future without notice.
