This key role is pivotal in the company's journey towards an initial public offering (IPO) and requires a highly skilled professional with a Juris Doctor (JD) degree and a minimum of 10 years of experience in securities and corporate governance, preferably within the biotechnology or pharmaceutical industry. The successful candidate will be responsible for overseeing and managing all aspects of securities filings and compliance, ensuring adherence to regulatory requirements, and working closely with internal and external stakeholders to facilitate the IPO process. Core responsibilities for the Director, Corporate Counsel - Securities and Compliance include preparing and reviewing all securities filings in compliance with SEC regulations and stock exchange rules, monitoring changes in securities laws, and advising senior management on necessary actions. The role also involves developing and implementing policies and procedures related to securities filings and compliance, as well as providing legal guidance on corporate matters such as mergers, acquisitions, and contractual agreements. The ideal candidate will have extensive knowledge of SEC regulations, stock exchange rules, and corporate governance principles, and possess strong analytical skills with the ability to interpret complex legal and regulatory requirements.
