CMBS Associate Attorney Join a leading AmLaw 50 law firm in Boston, MA, as a Commercial Mortgage-Backed Securities Associate Attorney. You will be part of a top-ranked Global Finance group, working on complex CMBS transactions, including CRE CLOs. This role offers a chance to handle substantial CMBS issuance volumes, collaborate with prestigious issuers, underwriters, servicers, and investors, and contribute to deals that shape the industry. Salary: $260,000.00 - $420,000.00 per year Essential Duties and Responsibilities: Provide expert counsel across diverse CMBS transactions, including drafting and negotiation of critical documents such as bid letters and confidentiality agreements. Lead preparation and execution of transaction documents, ensuring accuracy and compliance with applicable laws and regulations. Manage due diligence processes, transaction execution, and post-closing activities, acting as a primary legal advisor. Collaborate with team members within the Global Finance group to leverage collective expertise for optimal client outcomes. Participate in structuring deals, negotiating terms, and ensuring seamless closing of transactions. Ensure regulatory compliance and stay updated with industry standards and changes. Minimum Position Qualifications: JD from a top-tier law school with excellent academic performance. Active Bar Admission in Massachusetts. Experience from class years 2017-2021 in securitization and structured finance, especially in CMBS. Proven ability in drafting and negotiating complex securitization documents. Familiar with commercial real estate repurchase facilities and warehouse lending. Prior large law firm experience is essential. Preferred Qualifications: Demonstrated leadership in managing major CMBS transactions. Strong interpersonal skills to effectively communicate with clients and team members. Deep understanding of the regulatory landscape affecting CMBS and related financial instruments. Ability to innovate and drive efficiency in transaction processes. Skills: Exceptional analytical and problem-solving skills. Strong negotiation and communication skills. Adept in legal research and providing comprehensive legal advice.
