Qualifications Position Summary: The Contracts Manager will review and edit a range of contractual arrangements including confidentiality agreements, consulting agreements, purchasing agreements, supply agreements and licensing agreements, with oversight from the legal team. This role will provide commercial legal support to the sales department in providing appropriate contract frameworks and supporting contract negotiations to drive the contract negotiation process to successful close while protecting the company's interests and assets through appropriate risk management and allocation in contracts for large scale industrial projects. Supervisory Responsibilities: * While this position does not have any direct reports, the highly matrixed environment requires interaction on various cross-functional teams. Duties/Responsibilities: * Review, redline and perform risk analysis for commercial decision makers on large scale project contracts. * Negotiate contracts for engineering and equipment supply with clients in cross-cultural settings. * Negotiate licensing agreements to protect Company assets. * Draft, negotiate and arrange for execution of confidentiality agreements for specific purposes. * Provide advice and support to procurement teams in relation to purchaser order terms and conditions. * Provide support to the project teams in providing contract summaries of key terms, dates and obligations. * Maintain an awareness of the current requirements of export controls including sanctions regimes across multiple jurisdictions. * Communicate effectively with stakeholders within a cross-functional organization to explain contract terms and answer questions about specific contract provisions. * Recognize and understand business terms, legal concepts, and general principles of risk allocation. * Develop an awareness and understanding of the risks specific to the Company's activities to negotiate contracts with adequate risk mitigation. * Perform legal research across jurisdictions as directed by the legal team. * Assist with the creation and updating of templates for use within the legal department. Skills/Abilities: Required: * Minimum 3-5 years of commercial contract experience including reviewing, amending, and negotiating with external parties gained in private practice and/or in-house. * Minimum 1 year of construction contract management experience. * In-depth knowledge of contracts and contractual risk allocation. * Demonstrated expertise in contract negotiation. * Have a commercial focus and understanding of key commercial relationships. * Ability to effectively manage time and multiple priorities. * Excellent writing skills. * Experience working in MS Office Suite (Office, Excel, PowerPoint, Teams). Preferred: * Experience in licensing agreements. * Experience in large-scale construction projects. Education and Experience: * Bachelor's degree and Paralegal certificate, Juris Doctor or Legal degree preferred. * 4-6 years of commercial contract experience including reviewing, amending, and negotiating. Travel REQUIREMENTS: * Up to 10% internationally or domestically. Physical Requirements: * Prolonged periods of sitting at a desk and working on a computer.
