Commercial Real Estate Lawyer Needed To Support Corporate Real Estate Legal / Americas from Wilmington, DEDEPARTMENT OVERVIEW & OPPORTUNITYThe Corporate Real Estate Legal (CREL) team, which is part of the Legal Division, manages all legal matters for the Corporate Real Estate team in the Corporate and Workplace Solutions Division of Goldman Sachs. Together we acquire, develop, manage and operate the firm's global 14 million square foot real estate portfolio in 37 countries exclusively for its own use and occupation.CREL manages all legal matters relating to the firm’s real estate development activities, leasing transactions, acquisitions / disposals, design and construction contracts, and related real estate contracts. CREL also collaborates closely with professionals throughout the firm, as well as outside counsel and external service providers.This position will be situated in Wilmington. Core functions of this new role include supporting the CREL team in its management of legal services for real estate leasing, construction and related activities in the Americas. The successful candidate will be a 2-4 year associate in a top-tier law firm who will report to the Managing Director, Global Lead Counsel for CREL and the Vice President, CREL Americas both based in New York, and work closely with CREL team members based in Singapore and Bengaluru. PRINCIPAL RESPONSIBILITIESConsistent with established CREL policies and procedures: Provide legal support to CREL in the conduct of real estate leasing and construction matters in the Americas Review and assist in drafting leases, architect, project manager, engineer and other construction consultant appointments and building contracts Coordinate legal aspects of construction projects during and post-construction, including advising on claims and dispute management; facilitating claim resolution in accordance with contractual requirements and adherence with CREL policies Review brokerage agreements, due diligence documents, title reports and ancillary transaction documents Review and monitor letters of credit, guarantees, performance bonds, warranties, lien filings, planning and building regulations notices and approvals, and relevant firmwide policies Respond to audit and regulatory inquiries, lease notices and estoppel letter requests Assist in real estate aspects of GS mergers, acquisitions and other corporate transactions including analyzing leases and reviewing real estate aspects of sale and purchase agreements, transition services and other related agreements Assist in Resolution Planning preparation, lease analytics and inquiries Review and maintain library of contract templates and manage CREL’s online shared document library, including updating templates and related source documentsResponsibility for periodic regulatory, corporate entity reporting and corporate housekeeping matters related to all real estate entitiesAssist in getting business to fully respond to CREL requests for information / documents to facilitate review of standard contractor and consultant contractsAssist in tracking negotiations for inclusion of GS standard terms in construction contracts and leasesManage day-to-day internal corporate authorizations and procedural matters and interact with the business teams to address legal issues as they arise in day-to-day activitiesIn all activities: Liaise and coordinate with other relevant groups throughout the firm, including Legal, Corporate Risk, Compliance, Controllers, Tax, etc. and ensuring that Goldman Sachs’ required standard provisions are incorporated into all transaction documents Uphold the firm's control function principles, business controls, ethics, policies and procedures, professional standards and reputationExperience and Skills Required: Demonstrable commercial real estate leasing / construction experience with 2-4 years of relevant experience in private practice with a top tier law firm Excellent organizational, drafting and communication skills; ability to multi-task across competing priorities; demonstrated commitment to excellence, focus and results Excellent interpersonal skills; ability to build and maintain strong relationships with geographically dispersed business groups; ability to work with a team of diverse individuals; ability to work collaboratively and willingness to be part of a legal team that is dispersed geographically though closely aligned; excellent presentation / project management skillsHighly responsive, motivated and proactive; ability to respond creatively and quickly in a fast-paced, high-pressure, changing environment; takes ownership of projects and has a strong work ethic; problem-solver with strong control function judgement Excellent judgment and ability to assess risks; strong ability to take clear and firm positions to protect corporate / reputational interests and adhere to all CREL standards; keen business acumen and personal integrity Excellent academic credentials and references; redacted writing samples will be requiredABOUT GOLDMAN SACHSAt Goldman Sachs, we commit our people, capital and ideas to help our clients, shareholders and the communities we serve to grow.
