For this role, the team is seeking an experienced corporate paralegal to review and negotiate NDAs and vendor agreements, and help draft, review, and internally announce various contractual matters, including client contracts and amendments. This individual will also assist with corporate governance matters.The successful candidate will gain valuable experience at a leading investment firm, working alongside attorneys, operations professionals, and investment professionals as well as various other service providers.RESPONSIBILITIESThe individual will be expected to perform the following functions:Review Fund Manager and Client NDAs. Responsibilities include: (a) reviewing and negotiating NDAs with managers and clients; (b) working closely with the attorneys and investment professionals on matters with respect to the same.Review Vendor Agreements. Responsibilities include: (a) reviewing and negotiating agreements with Cambridge Associate vendors including data, IT, human capital, and other service provider arrangements; (b) working closely with the attorneys and business personnel on matters with respect to the same.Draft, edit, and announce certain client contracts and amendments.Working closely with the attorneys and investment professionals on matters with respect to the same.Track, record, maintain and update information regarding our clients and corporate governance matters.Coordinate the execution of documents.Assist all members of the Legal Department on various additional matters (including administrative support), as they arise.QUALIFICATIONS5+ years of paralegal experience is preferred.Experience in a legal, compliance or regulatory environment is required.Organized, detail-oriented, deadline-focused, and happy to work in a fast-paced environment. This individual should enjoy organizing, managing, and improving systems and processes.Ability to work independently.Strong interpersonal skills; the successful candidate demonstrates great collaboration skills, flexibility, initiative, and is an excellent team player.Excellent written and oral communication skills; ability to communicate and interact with peers and external contacts in an effective, tactful, and professional manner.Ability to deal discretely with sensitive, confidential information concerning clients and corporate affairs.Bachelor's degree from an accredited four-year college.Want to learn more?Click HERE to learn more about how Cambridge Associates lives our firm values every day.
