A Career that Empowers You to Build Your FutureAs a Sr. Corporate Paralegal, you will provide high-level support to the Legal Department in managing complex corporate governance, compliance, and entity formation matters. You will support in overseeing corporate secretary functions, ensuring the maintenance and accuracy of corporate books and records for all entities within the organization.A career with purpose.A career built on making dreams come true.A career built on building zero defect homes, cost management, and adherence to schedules. Your Responsibilities on the Team Collaborate with various Lennar Divisions to form entities, including preparation of entity formation documents.Obtain good standing certificates and previously filed corporate documents and confirm director and officer structure for approximately 1,500 Lennar subsidiaries.Conduct detailed reviews of corporate documents for litigation or other purposes for accuracy in relation to litigation or other legal matters, ensuring all descriptions of Lennar entities and related information are precise and up to date.Manage the preparation and filing of annual reports for Lennar subsidiaries in all necessary states and arrange filing of applicable statecounty documents and amendments thereto.Oversee the process of entity name changes and officer elections, ensuring proper documentation and compliance with state and corporate requirements.Draft, review, and execute election consents, other corporate resolutions and certificates of incumbency for Lennar entities as needed or requested by Lennar andor subsidiary Legal or Business stakeholders.Prepare Lennar authority documents for loan and sale closings and collaborate with outside counsel on closings.Execute andor notarize Lender signature packages, including recordable assignment documents and various signature pages in connection with loans.Review and approve third-party vendor invoices for various state filings, including entity formations, registrations, certificates of good standing and mergers.Lead the corporate entity management function for Lennar, including management of documents relating to mergers and dissolutions of Lennar entities and joint ventures.Spearhead other special projects as directed by the General Counsel or the Deputy General Counsel - Governance, in collaboration with other members of the Legal Department. Your Toolbox Paralegal or legal assistant Associate Degree andor Florida paralegal certification.5+ years' experience in corporate entity management.Knowledge of entity management and legal billing platforms and software.Experience working across corporate departments and supporting executives and other employees in corporate legal projects across departments.Proficiency in Microsoft Applications: Word, Excel, Outlook and PowerPoint.Excellent communication skills.Impeccable organizational, time management and multi-tasking skills, as well as attention to detail and proofreading skills.Self-starter, ability to independently resolve inquires and issues with skill and sound judgment.Ability to work on multiple projects simultaneously with a minimum of supervision.Ability to maintain poise in a fast-paced environment and ability to work well under stressful situations.Must be able to demonstrate discretion in handling highly confidential information.Excellent command of the English language; written and teract well with co-workers, supervisors, and management, maintaining a professional demeanor and attitude.
