Position SummaryAMPYR Energy USA, LLC ("AMPYR" or the "Company") is looking to hire a Corporate Paralegal to expand the Legal Department and to support key business functions across the Company. This person will play an essential role in the Legal Department, managing various legal agreements (including NDAs, consulting agreements, service agreements and other standard agreements), assist with review, redlining, negotiation and execution of agreements and terms and conditions, collaboration with Legal team and internal stakeholders to ensure compliance with Company policies, assist with operationalizing and refining workflows within the Legal Department, and contributing significantly to the Legal team's level of client service and valued partnership with the business. We are looking for a highly organized, detail-oriented, and collaborative person who thrives in a fast-moving environment and gets excited about developing processes to improve efficiency and effectiveness.You will collaborate with attorneys as well as team members across various business units as part of a growing Legal team that is dedicated and supportive of each team member and is passionate about our mission. We are looking for a detail-oriented and organized team member who shows initiative, has a passion for addressing climate change and has an ability to work independently, in addition to having a strong corporate legal background. You will report directly to the General Counsel.Responsibilities Duties include but are not limited to the following:Corporate governance matters, including drafting and filing corporate organizational documents or dissolution documents, operating agreements, officer consents, preparing some annual reports, and maintaining the entity list and org chart.Coordinate with outside vendor regarding business license research and maintaining the business license portal. Manage the business license application anize and maintain internal data management and communication (including transaction data room management).Develop, implement and maintain efficient and effective systems for managing information, projects and workflows to ensure accurate and timely responses.Assist in creating and maintaining various templates and form agreements to ensure the business can transact quickly and efficiently.Draft, review, prepare and negotiate various template agreements across different departments.Manage and maintain internal repositories of agreements and be the first line of defense in helping business units interpret contractual obligations.Coordinate with financing parties and business units to ensure compliance with reporting obligations, notice requirements and other relevant financing obligations.Support contract finalization and execution, while coordinating cross-functionally relating to internal approvals.Support compliance initiatives, including support creating, drafting and tracking corporate policies, training and monitoring compliance efforts.Monitor, update, and help develop strategic and tactical goals in order to meet organizational goals.Participate in regular update meetings with both the Legal and relevant commercial teams.Provide administrative support to the Legal team.Assist the Legal team with various tasks and initiatives as assigned.Qualifications, Education and ExperienceMinimum 5 years of corporate paralegal experience, preferably in a large law firm setting or renewable energy developer - this position is a for non-attorneys and non-law students;Associate's degree, BABS or equivalent relevant degree;Notary Public preferred;Must be detail-oriented with the ability to manage multiple priorities with little supervision and excellent organizational skills;Excellent communication (oral and written) and analytical skills required;Desire to expand skills to include (but not be limited to) legal support;Specific experience in renewable energy projects is strongly preferred, but candidates without renewable energy experience will be considered;Commitment to AMPYR's mission;Demonstrated experience in effectively communicating information, ideas, and perspectives with people inside and beyond your organization;Experience in showcasing initiative to make improvements to current work, processes, products, and services across the organization.
