Junior Corporate ParalegalA dynamic law firm in San Fernando Valley is seeking a sharp and motivated Junior Corporate Paralegal to join its team. This full-time, in-office position provides an excellent opportunity for someone with 1-2 years of corporate or transactional paralegal experience. The successful candidate will work closely with a highly experienced Senior Corporate Paralegal, gaining valuable mentorship and hands-on training to grow their expertise.Key Qualifications:1-2 years of corporate or transactional paralegal experience.Paralegal Certificate from an ABA-accredited program (required).Bachelor's degree (preferred).Familiarity with corporate formation and transactional processes.Strong organizational and multitasking skills with excellent attention to detail.Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).Ability to quickly adapt to new tasks and a willingness to learn.Responsibilities: The ideal candidate will assist with corporate matters and be prepared to grow their skills in the following areas:Drafting legal documents, including agreements, contracts, and memoranda.Preparing documentation for Secretary of State, Department of Corporations, and SEC filings.Conducting UCC searches and filings.Assisting with the formation and maintenance of corporate, partnership, and LLC entities.Preparing and tracking paperwork for mergers, acquisitions, dissolutions, amendments, and withdrawals.Drafting and organizing shareholder consents, proxies, and corporate resolutions.Maintaining minute books and corporate records.Researching and ensuring compliance with state, local, and federal regulations.Preparing employee benefit plans, stock certificates, and shareholder agreements.Monitoring and ensuring regulatory piling data for audit letters and legal correspondence.Preferred Skills:Familiarity with corporate governance, SEC filings, and transaction management.Basic understanding of employee benefit plans and tax registrations.Experience in a professional law firm or corporate environment is a plus.
