Venture Capital Compliance Paralegal

A Venture Capital Compliance Paralegal helps ensure compliance with legal regulations and requirements for a venture capital fund and their portfolio companies. They work using prepared legal templates and in consultation with Securities Counsel and other legal staff. Responsibilities Prepare and review legal documents, such as private placement memorandums, term sheets, contracts, and investment agreements Assist with entity formation and corporate record maintenancereview subscription agreements and side lettersConduct legal due diligence, including articles of incorporation, by-laws, and capitalization tables. Perform legal research and analysisAssist with SEC EDGAR filing service providersCommunicate with portfolio companies and investorsCoordinate training events and business development effortsQualifications A bachelor's degree in paralegal studies or a related legal fieldParalegal certification from an accredited organizationExperience in corporate law or M&A transactionsBasic understanding of securities and corporate lawExcellent organizational and multitasking skillsProficiency in legal document management Strong written and verbal communication skills
