The Paralegal Senior role supports the Corporate Secretary Function in legal and corporate issues. Responsibilities:Support the Corporate Secretary Function with the following tasks in connection with the meetings of the Board of Directors and the Board and Management Committees of Amerant Bank, N.A., its parent company, and its affiliates:send notices, invitations, and reminders for the meetings;plan and manage the meetings;gather and organize materials;prepare, review, and timely distribute the agendas and books;attend meetings of certain Management Committees as assigned by the Corporate Secretary or any Assistant Corporate Secretary from time to time and draft the minutes of those meetings with independent discretion and authority to determine relevant matters to be included therein.draft and review drafts of the minutes of the meetings of the Board of Directors, its Committees and other key management committees;communicate the approvals and resolutions by the Board of Directors, its Committees and Management Committees to relevant internal and external parties; andsend evidences of the approvals and resolutions taken at the meetings andor certificates of minutes to regulators, internal and external auditors, and other third parties (including rating agencies, and third-party suppliers).Receive and route all Corporate Secretary's invoices for fees and expenses to the appropriate officers for review, verification, and approval for payment, and keep records of the Corporate Secretary's expenses.Research legal and regulatory matters and draft legal memoranda and briefs;Draft and review of corporate contracts, forms, memoranda and documents (including Inter-company Services Agreements, written consents and resolutions);Draft and review of securities law filings and documents;Organize and maintain the Corporate Secretary files (including confidential and non-confidential documents and records, correspondence, memoranda, meeting agendas and minutes, expense reports, and others);Oversee the legal entity management and maintain corporate records and files updated;Incorporate and dissolve legal entities as instructed; andFile corporate annual reports, notices, amendments, statements, and other corporate documents with the respective Department of State.Work Experience:5+ years of experience in the legal field.Education andor Certifications:Certificate in Paralegal Studies, preferably from an American Bar Association approved legal program.Technical Knowledge, Skills and Abilities:Ability to enter, transcribe, restore and maintain information in written and electronic formats.Ability to give full attention to what other people are saying, take time to understand the points being made, ask questions as appropriate, and not interrupting at inappropriate times.Proficient using the Microsoft Office Product Suite including MS Outlook, MS Words, MS Excel and MS PowerPoint advanced level.Bilingual (EnglishSpanish) desirable.Functional Knowledge, Skills and Abilities:Must be a team player, have the ability to work under pressure, conduct business in a professional manner and be able to resolve problems and conflict. Must be able to prioritize work, and effectively manage time, change and multiple priorities. Must possess effective communication skills verbally and in writing. Must have a passion for the customer and exhibit Amerant's precepts on every interaction.
