The Commercial Real Estate and Corporate Paralegal Administrative Assistant provides essential support to attorneys involved in real estate and other business transactions, including real estate transactions managed through the firm's title agency, acquisitions and divestitures, mergers, joint ventures, and other business-related legal matters. This position provides support in all aspects of transactions, from initial negotiations through to closing. The position requires strong organizational skills, multitasking capabilities, attention to detail, strong communication skills, a solid understanding of business law principles, and the ability to draft and review contracts, conduct due diligence, and organize documentation related to business deals. There is a high degree of professionalism and confidentiality required given the sensitive information and case details. Additionally, this position provides administrative support to attorneys. The ideal candidate will have extensive real estate title experience and be capable of managing complex corporate transactions with minimal supervision.Essential Duties and Responsibilities:Assists in the preparation and review of real estate and other corporate transactional documents, including purchase agreements, loan documents, amendments, and other legal contracts.Reviews commercial real estate title insurance commitments, surveys, zoning reports, title documents, corporate records, financial documents, and other due diligence items.Supports the firm's title agency in the preparation of final title insurance policies.Manages transaction files and assists attorneys with negotiations, deadlines, and closings by organizing and preparing transaction checklists and closing documents and following up on post-closing matters.Coordinates with clients, opposing counsel, and other stakeholders involved in the transaction to ensure timely completion of tasks and execution of documents.Assists clients with corporate governance, including the preparation and filing of organizational documents.Researches real estate and corporate legal issues, including reviewing case law and regulatory requirements.Maintains and tracks client billing for transaction-related work.Maintains attorney calendar including all appointments, meetings, and all necessary dates.Provides legal administrative assistance as needed including, but not limited to e-filing, sending conflict checks and opening new matters, inputting contact information into Interaction, submitting expense reimbursements for attorneys, processing vendor invoices, assisting attorney with CLE tracking and bar renewal registrations, etc.Supports our administrative team to support attorneys as needed.SkillsKnowledge Requirements:Strong understanding of legal terminology, real estate verbiage, law, and legal procedures.Knowledge of real estate software and document management systems. Experience with SoftPro or other titleclosing software a plus.Strong computer skills; proficient in MS Office, MS Word, Excel, and case management software.Must have strong organizational skills and ability to multi-task, be detail-oriented, and have excellent communication skills.Ability to work effectively with all levels of staff and management.Proficient in legal research and writing.Strong organizational skills and attention to detail.Excellent communication skills, both written and verbal.EducationExperience Requirements:College degree or equivalent work experience.Paralegal Certification a plus.Minimum of 5 years of experience in real estate, business or corporate law, with a focus on transactions.Notary License.Cohen Seglias is an equal-opportunity employer.
