SummaryAs Senior Counsel, Corporate Governance & Litigation, you will play a key role in supporting Vroom as a public company and its subsidiary operating entities. Your primary areas of focus will include SEC filings, Nasdaq compliance, corporate governance, corporate transactions, general corporate law, and contract negotiation and review. Also, because we are a small legal team, we need a team player who is flexible and relishes the opportunity to roll up your sleeves and help cover the broad range of day-to-day legal needs of the organization, including dispute resolution and risk management. There is an amazing opportunity to learn and grow in this role.Primary ResponsibilitiesPrepare SEC filings such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documents and assist in Nasdaq complianceAssist with Vroom corporate governance, including Board and committee processesAssist with public company communications, including press releases and investor presentationsManage all aspects of subsidiary governance, including maintaining and updating corporate governance documents for Vroom's subsidiariesAssist with other general corporate matters, including entity formation and management, contract review and administration, vendor relationships, licensing, and intercompany arrangementsWork on capital markets transactions, including equity and debt offerings, and other financing transactionsWork on M&A, joint ventures and other strategic corporate transactions, should they ariseAssist in managing the company's outside counsel on litigation mattersDraft, review and negotiate a variety of commercial agreements, including SaaS subscription, technology, vendor and strategic partnership agreementsSupervise corporate paralegalAdditional ResponsibilitiesAssist in managing the day-to-day legal needs of the organizationAdvise internal stakeholders on legal risks associated with a broad range of business activities and proposed courses of actionWork closely with other members of the legal team, as well as cross-functional teams, to achieve strategic objectives, manage legal risks effectively, and effect resolution among all partiesAssist with the development of form agreements and standard template language for contract playbooksKeep abreast of legal developments, trends and best practices relevant to the company's businessKey CompetenciesCandidates for this role must display exceptional professional interpersonal skills and the ability to effectively interact and collaborate with attorneys, management, business colleagues, and outside parties. We seek someone who can work independently but also be highly collaborative and a team player.QualificationsJ.D. from an accredited law schoolMember in good standing of the bar, preferably in TX, but not required.6-10 years of relevant experienceBoth law firm and in-house experience requiredKnowledge of the General Corporation Law of the State of DelawareHands-on experience with SEC filings such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documentsExperience with financing, capital markets and other corporate transactionsExperience with corporate governance; experience with subsidiary governance preferredSkilled at developing pragmatic, business oriented, approaches to legal challengesDemonstrated ability and desire to quickly learn new areas of law and regulationA team player mindset, pitching in wherever neededAbility to multitask, work independently and carry out important projects with limited oversightAbility to work collaboratively and provide strategic legal advice in a fast-paced environmentExcellent problem-solving capabilities, judgment, communication and interpersonal skillsSuperior organizational skills and attention to detailPreferred SkillsExperience with consumer finance regulations, especially in the auto industryExperience with M&A, joint venture or other strategic transactionsExperience with drafting, reviewing and negotiating commercial and technology-related agreementsLitigation, regulatory compliance or other general counsel experience indicating versatility and a readiness to engage on a wide variety of legal mattersLocationPrefer TX-based, but not required.
