Chief of Compliance -56244 Job Num: 56244 h5 Job Description A global electronics manufacturing corporation is seeking a Chief of Compliance to plan, control and direct the legal affairs and compliance activities of the company by performing the following duties: Location Dover, NJ Salary 100-140K ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned. Compliance: Develops, initiates and revises policies and procedures for compliance initiatives in the areas of (but not limited to) antitrust, competitive behavior, customs, environmental, false and misleading advertising, procurement of goods and services and website services. Identifies potential areas of compliance vulnerability and risk, develops and implements corrective action plans for resolution of problematic issues and provides general guidance to management on how to avoid or deal with similar situations in the future. Monitors and as necessary, coordinates compliance activities of other departments to advise them of new state or federal regulations and implement new compliance programs to meet requirements of new regulations. Maintains and updates information security policy as a member of CISP compliance team responsible for overall PCI/CISP compliance. Consults with outside law firms as needed to resolve difficult compliance issues. Advertising and Public Relations: Review all advertising and PR material to insure compliance with Federal Trade Commission guidelines, prevent violation of trademark and copyright laws, and insure the procurement of proper licenses, releases and rights of publicity. Customs: Develop, implement, and maintain programs to meet new government initiatives. Specifically, prepare programs for Port Account Management program and Custom Trade Partnership Against Terrorism. With respect to C-TPAT, coordinate with the parent company on security standards for all the comapany owned factories and third party subcontractors as well as security standards for logistic providers. Work with operations and logistics on domestic security issues. Ultimate goal is to have the company become a member of C-TPAT. Customer Service: Develop, implement and monitor policies and procedures for customer complaint handling in accordance with FTC requirements. Environmental: Develop and implement new procedures to meet state and federal regulations in the area of the disposal of toxic substances and new labeling laws. Specifically, comply with California Proposition 65 settlement on lead and PVCs as well as Northeast Waste Management Official Association requirements on new labeling laws. Work with environmental lobbying groups to keep abreast of new trends and hire environmental consulting firms as needed. Pricing: Work with management on pricing programs to insure compliance with Robinson-Patman Act and antitrust laws. Contracts: Draft review, revise, and update general business agreements such as dealer and distributor contracts, sales representative agreements, publicity agreements, confidentiality agreements, indemnification agreements, etc. Work with outside counsel on drafting agreements for unique situations such as software licenses and mechanical licenses. Corporate: Maintain and update stock books and minute books. Issue corporate resolutions as required and at the request of the parent company to meet corporate restructuring. Host annual Board of Directors meeting. Hold executive positions in the affiliate companies order to maintain operational activities. Immigration: Responsible for all immigration matters, including the acquiring and renewal of "E", "H", and "L" visas as well as applications for Green Cards. Consult with outside counsel and advise management of changes in INS practices and procedures as INS moves under Department of Homeland Security. Insurance: Responsible for property, casualty and cargo insurance and risk management and certain affiliates. Work with insurance broker on annual policy renewal program, the issuance of product liability insurance certificates and surety bonds. Assist insurance company on resolving product liability claims, auto claims and theft and damage claims. Leases Building/Equipment: Review, update, and terminate building leases with advice and assistance of outside counsel. Maintain summary of building leases and advise affected departments of changes, renewals and terminations. Review equipment rental and maintenance agreements from a legal prospective and discuss with outside counsel as needed. Litigation: Work with outside counsel to resolve litigation matters as quickly and as favorably to the company as possible. Assist counsel by providing investigative information, respond to interrogatories, coordinate depositions, and give testimony when required. Lobby Groups: Represent the company in lobby groups, specifically International Electronics Manufacturers and Consumers of America (Japanese Lobby Group) and the Computer and Communications Industry Association. With respect to IEMCA, act as a Director on IEMCA's executive committee. Patents: Support the parent company in patent infringement matters. Coordinate litigation efforts with local counsel; provide documentation, sales data, and advertising material to defend the company's position. When required, analyze patent claims. Purchasing: Work with accounting to review, revise and monitor purchasing policies and procedures to insure that all vendor selections are properly documented and that vendors are selected through a competitive analysis. Trademarks: Work with outside counsel to identify and prosecute violators of trademarks. Join organizations such as VERO (Verified Rights Ownership) on eBay, which will remove infringing products from websites. Research potential new trademarks. Internet: Draft, review and revise internet, website and data center agreements. Coordinate and implement changes to Cyber Source fraud detection system and Paymentech's bank processing system.
