SUMMARYThe Legal Administration Manager will support our legal operations on various matters relating to the board of directors and public company processes, securities law compliance, legal entity management, and transactional support. This position requires a detail-oriented professional with a strong background in public company environments and law firm settings. The successful candidate will manage various administrative and legal tasks, ensuring efficiency and compliance in all our dealings.RESPONSIBILITIESSupport the preparation of board materials and management of annual filings, including resolutions and board decks.Assist with the coordination and preparation of the annual stockholder meeting.Prepare initial drafts of Section 16 beneficial ownership filings on Forms 3, 4, and 5 for officers and directors and track pre-clearances under the insider trading policy.Supervise legal department expense processes, vendor invoices, and billing relationships, and assist with legal department budgeting.Manage stock award grants with our transfer agent.Maintain and organize corporate organizational documents and handle entity formation, maintenance, and dissolution.Serve as a liaison between the company, external legal teams, and other stakeholders to ensure seamless communication and project management.Manage NDA process with third-party service provider.Oversee and contribute to various projects, ensuring adherence to timelines and specifications.QUALIFICATIONSA bachelor's degree in a relevant field; paralegal certification or equivalent practical experience is preferred.At least 3 years of experience in a public company or law firm environment.Proficient in corporate entity management and familiar with legal compliance requirements.Strong project management and communication skills, capable of managing multiple projects simultaneously.Experience in preparing board materials and familiarity with capital markets and annual filings.Knowledge of legal billing processes and systems.Technical proficiency in DocuSign, Diligent, entitysubsidiary management, and other legal department management tools.REQUIRED COMPETENCIESAbility to work independently and within a team in a fast-paced, high-volume environment emphasizing accuracy and timeliness.Highly collaborative and team-oriented, self-motivated individual with an entrepreneurial approach to getting work done.Strong organizational skills and attention to detail.Excellent interpersonal skills, with the ability to manage relationships both internally and externally.Our company is steadfast in its commitment to fostering a diverse and inclusive workplace. Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location, and alignment with market data. Additionally, company employees may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility, and Company approval.
