Director, Executive Compensation and Equity Administration Location: Parsippany, NJ, US Property Name: Parsippany - 22 Sylvan Way Wyndham Hotels & Resorts is now seeking a Director, Executive Compensation and Equity Administration to join our team at the Parsippany - 22 Sylvan Way location in Parsippany, New Jersey. The Role The Director of Executive Compensation & Equity Administration is responsible for developing, implementing, and managing executive compensation programs and administering equity compensation programs within the organization. This position requires a deep understanding of compensation strategies, market trends, and regulatory compliance to ensure competitive and effective executive compensation practices. The Director collaborates with cross-functional teams, including HR, finance & accounting, legal, tax and others to design and administer executive compensation plans that align with business goals and attract, motivate, and retain top executive talent. What you'll do Develop and execute a comprehensive executive compensation strategy aligned with the organization's overall compensation philosophy and business objectives. Directly supervise one Manager level resource primarily dedicated to equity administration and other ad-hoc executive compensation analysis and reporting needs. Conduct research and benchmarking to ensure competitive positioning of executive compensation programs in the market. Regularly monitor industry trends, best practices, and regulatory requirements to inform and enhance the compensation strategy. Executive Compensation Program Design: Design, evaluate, and modify executive compensation programs, including base salary, short-term and long-term incentives, equity-based compensation, deferred compensation, and executive perquisites. Collaborate with external consultants and internal stakeholders to assess and recommend appropriate executive pay structures, bonus targets, and performance metrics. Ensure that compensation programs are aligned with corporate governance guidelines, regulatory requirements, and shareholder expectations. Compensation Governance and Compliance: Oversee compliance with applicable laws and regulations related to executive compensation, such as Section 16, 162(m), 409A, and other reporting and proxy disclosure requirements. Review and interpret executive compensation provisions in employment agreements, contracts, and equity plans. Maintain awareness of emerging legal and regulatory changes impacting executive compensation and make necessary adjustments to ensure compliance. Executive Compensation Communication and Education: Develop and deliver clear and effective communication strategies to educate executives and key stakeholders on compensation programs, policies, and processes. Provide guidance and support to HR and management teams in communicating compensation-related matters to executives and employees. Participate in shareholder engagement activities related to executive compensation matters, including proxy disclosure and Say-on-Pay votes. Compensation Analysis and Reporting: Conduct comprehensive data analysis to evaluate the effectiveness and competitiveness of executive compensation programs. Prepare and present reports, summaries, and recommendations to senior leadership and the Board of Directors regarding executive compensation decisions and program performance. Collaborate with finance and accounting teams to ensure accurate and timely reporting of executive compensation expenses, disclosures, and financial metrics. You'll be successful if you have In-depth knowledge of executive compensation practices, regulatory compliance, corporate governance, and market trends. Strong analytical and quantitative skills, with the ability to interpret complex compensation data and financial information. Excellent communication and presentation skills, with the ability to convey complex compensation concepts to both technical and non-technical audiences. Demonstrated project management skills, including the ability to manage multiple priorities, stakeholders, and deadlines. High ethical standards and the ability to maintain confidentiality in handling sensitive compensation information. Professional certifications such as Certified Compensation Professional (CCP) or Certified Executive Compensation Professional (CECP) are a plus. Required Qualifications/Experience Bachelor's degree in human resources, finance, business administration, or a related field. Advanced degree (e.g., MBA, JD) is preferred. Extensive experience (typically 8+ years) in executive compensation design, implementation, and administration, preferably in a large corporate setting. #J-18808-Ljbffr
