Job Description : Our client is seeking an experienced and strategic Corporate Counsel to join their team in Summit, NJ. This person will oversee all legal aspects of the company, ensuring compliance with applicable laws and regulations, mitigating risks, and providing expert legal advice to the executive team. The ideal candidate will be a strong leader with deep knowledge of corporate law, contract negotiation, and the ability to work collaboratively across all departments. Salary expectations $170-220k Responsible for : Reviewing and negotiating commercial terms of sale on contracts Developing and maintaining standard terms and conditions for various business units/ segments Overseeing the preparation and filing all federal and state tax filings and compliance documents Matters of corporate governance (vendor qualification, risk management in operations) Corporate state and federal compliance reporting, including but not limited to OSHA & EEO 401K plan design and administration- ERISA Compliance Reviewing and negotiating NDA terms Implementing policies and procedures for employer legal compliance in multiple states Determining adequate insurance coverages for all areas of the business-including, but not limited to Employee Benefits, Product Liability, Property, Fiduciary, Cargo, Directors etc. and negotiate premiums with providers. Legal and employment matters regarding discontinued operations Managing all litigation matters including product liability, environmental, and employee relations Oversight of all audit results by outside auditors (KPMG, IRS, state tax authorities, all benefit plan audits) Vetting and selecting local counsel in various jurisdictions when needed A variety of special projects such as involvement in: acquisition due diligence; bankruptcy proceedings of customers; dispute resolutions, drafting agreements for special situations Writing license agreements Qualifications : Juris Doctor degree Knowledge of corporate law, contract law, tax compliance, human resources, and/or regulatory compliance Minimum of 5 years of legal experience Preference for candidates with at least 3 years in corporate law Strong business acumen with the ability to align legal strategies with overall business goals. Exceptional written and verbal communication skills, with the ability to effectively communicate complex legal issues to non-legal stakeholders. Strong analytical and problem-solving skills, with the ability to make sound legal decisions under pressure. Litigation experience, as needed
