Our client is looking to identify an extremely high caliber Assistant General Counsel who can guide them through the pre-IPO process. Additionally, this key hire will support their corporate development activities globally. Including being responsible for leading negotiations for potential partnerships, help structure contracts, and will be an integral team member in creating new go to market products & services. This individual will be joining a high growth company who is involved in the digital assets and crypto business from a SaaS standpoint. This company has been growing headcount year over year, so the reason for this hire is as a result of their exponential growth. The ideal candidate will be an astute business partner, who is smart, self-starting, and someone who can drive results through effective collaboration with counterparties. This hire will work closely with the Legal team, Corp Strategy, Finance, and Compliance teams to successfully execute in this role.ResponsibilitiesPartner with Corporate Strategy team to negotiate, structure, and draft legal agreements related to corporate transactions, M&A, partnerships, and joint ventures.Pre IPO prep work and be the point person internally to guide the business through a successful IPO.Assist in the creation of new products and services from a legal frameworks standpoint.Advise the business on new rules and regulations that impact the business' global entities.Stay abreast of all new regulatory developments in the cryptocurrency and fintech space.Act as a trusted advisor and go-to person for corporate litigation matters or disputes.QualificationsMust have a Bachelor's degree from a 4 year university.Must have a JD from a top law school.Admission and active standing with the NY bar association.7+ years of legal work experience. Ideally having worked at a crypto, fintech, tech, or SaaS company.Must have experience guiding a company through an IPO from the Legal standpoint. Ideally a SaaS company, preferred but not mandatory.Must have previous work experience structuring legal partnerships.Be able to demonstrate a thorough understanding of Crypto and digital assets productsservices.Must have excellent drafting, negotiating, and communication skills.Ability to convey complex legal matters in a clear concise manner to the various business lines you will be partnering with.Need to be flexible and adaptable as work priorities can change quickly.This job would require someone in the office at least 2 days per week. This is a role that allows for high autonomy, with minimal hand holding.This hire would be based out of the NYC office, hybrid work.Base + Bonus + Stock is on offer for this key hire.
