We are seeking a highly skilled Business Attorney with extensive experience in both transactional and litigation matters to join our team. The ideal candidate will have substantial experience handling a variety of business-related legal matters, including drafting and negotiating contracts, overseeing corporate transactions, and representing clients in litigation and arbitration. This position requires a strategic thinker who can provide high-quality legal services, effectively manage multiple cases, and build lasting client relationships.Key Responsibilities:Transactional Law:Advise clients on a wide range of business and corporate legal matters.Draft, review, and negotiate complex contracts, including operating agreements, shareholder agreements, bylaws, stock purchase agreements, asset purchase agreements, and other commercial contracts.Assist in corporate governance matters, including preparing consents, resolutions, and corporate minutes.Provide legal guidance in mergers and acquisitions, business formations, restructuring, and financing transactions.Conduct due diligence and oversee the closing of significant business transactions such as commercial loans, stock sales, and asset acquisitions.Advise clients on compliance with state, federal, and local business regulations.Litigation & Dispute Resolution:Represent clients in business litigation cases, including breach of contract, shareholder disputes, commercial real estate disputes, and intellectual property matters.Lead and manage cases through all stages of litigation, including pre-litigation negotiations, discovery, motions, trials, and appeals.Represent clients in arbitration and mediation proceedings.Collaborate with litigation support staff to prepare pleadings, briefs, and other court documents.Provide strategic advice and manage risk assessments for clients involved in disputes.Develop and implement litigation strategies that align with the client's business objectives.Client Relations & Business Development:Work directly with clients to understand their legal needs and provide tailored legal solutions.Build and maintain strong relationships with clients to foster long-term partnerships.Collaborate with other attorneys within the firm on complex business law issues.Actively participate in networking events and community involvement to develop new client relationships and referral sources.Advise business clients on risk management and ways to mitigate legal risks in commercial transactions.Qualifications:2+ years of experience practicing business law, with a strong focus on both transactional and litigation matters.Licensed to practice law in both North Carolina and South Carolina.Proven experience in business law, including drafting, reviewing, and revising contracts and corporate documents (e.g., operating agreements, shareholder agreements, bylaws, stock plans, consents, resolutions, and corporate minutes).Expertise in managing business transactions, including asset and stock purchase agreements, commercial loan closings, and other related deals.Strong background in representing clients in court and arbitration proceedings.Benefits:Competitive prehensive health, dental, and vision insurance.Employer-matched retirement contributions.Coverage of state bar dues and continuing legal education (CLE) fees.Generous paid time off and holidays.Office perks including healthy snacks and fitness & wellness reimbursement.Ascendo is a certified minority owned staffing firm, we welcome and celebrate diversity.
