Director, Corporate Counsel

About the Role InvestCloud, a global leader in wealth technology, aspires to enable a smarter financial future, and we are building our internal legal team to aid in our future growth. We are looking to add an experienced attorney to advise on a broad range of business activities, with a focus on negotiation and preparation of sales contracts. Other responsibilities may include assisting with partner, vendor and other commercial contracts; providing counsel and support to sales, account management, product and technology leaders; and liaising with third party specialists regarding intellectual property, technology, security and regulation matters. This position will report directly to InvestCloud's Associate General Counsel. Responsibilities: Negotiate and draft SaaS subscription and related agreements for the sale of InvestCloud's products in the U.S. and internationally, and provide assistance as needed on partner, vendor and other commercial contracts. Manage sales opportunities from start to close independently. Ensure compliance with company policies and procedures when working with other business stakeholders on deals and projects. Assist with other legal projects on an as-needed basis. General legal research and support. Requirements: JD degree and active bar license in good standing. 5+ years of experience in legal practice, at a recognized law firm and/or in-house. Substantial relevant experience managing SaaS subscription deals and working with members of the sales team to drive deals from inception to close. Broad exposure to U.S. data privacy laws and regulations and working knowledge of international data privacy frameworks (e.g., GDPR). Knowledge and experience in IP aspects of SaaS delivery models. Eagerness to help and to find creative ways to solve problems for business teams. Excellent writing, oral communication, organizational, and project management skills. Eager to take on challenges and learn new skills and areas of law and business. Ability to work with limited oversight and manage time and relationships.
