As 's in-house Corporate Counsel, you would be responsible for providing legal and strategic advice on all aspects of the company. Your primary focus will be supporting the sales team by preparing, reviewing, and negotiating a high volume of customer contracts including Master Serice Agreements, Vendor Contracts, NDAs, cloud software subscription agreements, and data privacy addendums. You will also be responsible for providing the sales team (and any other teams as needed) with training, education, and documentation on any relevant legal matters and for reviewing and updating the company's internal policies and procedures as necessary to ensure both efficiency and compliance with the company's legal obligations. In addition to supporting the sales team, you will also support all departments across the company (with a focus on advertising, marketing, and strategic partnerships) while also providing the Executive team with legal advice and guidance. You must be inquisitive, collaborative, enthusiastic about technology, and able to provide sound judgment in ambiguous situations. Hybrid, Office located in Waltham, MA. Base Salary Range : $120,000 - $130,000 plus quarterly bonus potential A Day in the Life... Draft, review, and negotiate a high volume of customer contracts for 's cloud software including SaaS subscription agreements, NDAs, and data processing/protection agreements while working closely with and providing guidance to the sales team Draft, review, and negotiate other agreements and contracts including advertising, partnership, marketing, and vendor agreements Coordinate and manage relationships with outside counsel on an as-needed basis including on all trademark and IP issues as well as any litigation matters that may arise Responsible for facilitating the resolution of business / legal issues and formulating recommendations using analysis, creativity and the development of new approaches to enable contract execution while safeguarding the company and creating a positive customer experience all in accordance with company policies and procedures Participate in and contribute to the development and on-going review of relevant processes, policies, and procedures relating to the company's contracting and other internal practices Collaborate with internal stakeholders to achieve business objectives while managing and mitigating legal risks You will over see a staff of at least one legal professional About You... Admitted to Practice Law in Massachusetts Minimum 5 years in an in-house or outside legal firm professional experience with SaaS MSAs and technology transactions Contract management and workflow systems experience Excellent attention to detail with the ability to work efficiently in a fast-paced environment with rapidly changing priorities and short time constraints Experience with cloud software and software-as-a-service/SaaS subscription agreements Familiarity with global data privacy and security regulations including the Standard Contractual Clauses, Privacy Shield, GDPR, CPRA and CCPA. Strong analytical and contract formation, preparation, drafting, review, management and negotiation skills in addition to excellent verbal and written communication skills Understanding of United States software intellectual property law and practices Perks...
