The law firm of Johnston, Allison & Hord is seeking an experienced Corporate Paralegal to support the Corporate Department in drafting, filing and managing various business entity documents for corporations, LCCs, non-profits, joint ventures, professional entities and partnerships with additional responsibilities to include: Create organizational documents, including Articles of Incorporation, Bylaws, Articles of Organization, Operating Agreements and stock certificates;Draft Resolutions for various corporate actions;Prepare and file dissolution documents for all entity types;File annual reports;Assist with documentation for mergers & acquisitions;Respond to requests for information;Assist with closing corporate finance transactions and loans;Maintain stock ledgers and corporate minute books;Review and abstract of contracts;Obtain EINs for various entity types;Receive and disburse Trust Account funds.This position requires excellent organizational skills to maintain a high volume of documents, excellent attention to detail, strong communication skills, accurate typing and proofreading skills, and the ability to handle several projects at one time and meet multiple deadlines in a fast-paced environment. The qualified candidate must be technology savvy with a strong knowledge in working with Microsoft Office (Advanced Word, Outlook, PowerPoint and Excel). Comprehensive knowledge of filing procedures with the North Carolina and South Carolina Secretary of State's office is a must. A working knowledge of real estate transactions and estate planning is a plus. A paralegal certificate and Notary are preferred.We offer an excellent salary and benefits package.Please send resume to
