The Peters Corporation Paralegal Duties: Works independently with minimal supervision, performing complex administrative duties, including creating, preparing and submitting legal company materials, stock certificates, compliance documents, property materials, water rights, art consignment or licensing agreements, employment contracts, corporate resolutions and minutes, and proofreading, verifying, and editing all materials for extreme accuracy and clarity; performs research, initiates reports and forms; handles confidential information professionally, consistent with legal and ethical policies. Essential Job Functions: Work in an environment with other professionals in a positive and friendly manner. Work closely with in-house counsel, outside counsel, and corporate personnel with regard to corporate formation and compliance, real estate matters, loan transactions, human resources, water rights, art matters, trademarks and other real and intellectual property. Engage in corporate governance, including drafting shareholder and board minutes and resolutions, maintaining all corporate records, minute books and filings, maintaining entity history and corporate database. Interact with various Secretaries of State. Interact with various agencies, such as State of New Mexico agencies, various Counties, and Courts. Assist with projects to ensure project requirements and deadlines are met, including but not limited to, maintaining project files. Organize and maintain all legal and confidential files. Create and maintain all property-related files; draft warranty deeds and/or quitclaim deeds for review and approval; maintain surveys/maps/plats and property files; gather and assemble documents with regard to real estate projects. Maintain Microsoft Access database regarding all company files, Property files, Art Related files, litigation, oil and gas files, closed files. Prepare drafts of legal documents, pleadings, and contracts. File/E-File legal documents with Courts. Gather and arrange evidence and other legal documents for attorney review and case support. Performs research and support activities to assist in-house counsel, corporate personnel, and outside counsel. Schedule conferences and calendar management; Advanced knowledge of Microsoft Office and other programs to prepare correspondence, documents and/or presentations; responsible for formatting consistency and accuracy on time-sensitive, high-profile documents. Establish and maintain filing systems; classifies sorts, and file correspondence, records, and other documents. Exceptional written and oral communication skills, including but not limited to, being well organized, prioritizing work and/or projects. Work independently to manage timing and action plans for completing functions and preparing correspondence, reports and other documents ahead of need. Interact well and efficiently with all levels of internal staff. High degree of integrity regarding accurate work, meeting deadlines, documenting work, and reporting. Maintain confidentiality of information. Demonstrate professionalism and maintain professional certifications, as appropriate. Work well under various deadlines and pressure. Respond to deadlines in a calm and problem-solving manner. Perform other duties or special assignments as needed. Corporate: Maintain corporate compliance for all entities (annual reports, biennial reports, registered agent annual fees, business license renewals, etc.) Prepare and file corporation/company documents in various states. Prepare stock certificates for issuance, transfer and/or cancellation. Prepare minutes and resolutions. Calendar corporation/company deadlines with regard to required state compliance filings. When requested, draft promissory notes, lines of credit agreements, assignment and transfer of shareholder and/or membership interests. Gather and assemble documents with regard to loan transactions. Prepare and maintain list of all Peters Corporation entities and subsidiaries. Prepare employment agreements. Assist with HR matters. Galleries / Art Auction When requested, draft for review and approval consignment agreements, license agreements, purchase and sale agreements, etc., with regard to Gallery transactions; prepare corporate resolutions; file corporate reports; prepare employment agreements. Properties Create and maintain all property-related files. Prepare warranty deeds and/or quitclaim deeds. Maintain surveys/maps/plats and property files. Gather and assemble documents with regard to sale/purchase/refinance of properties. Trademarks/Copyrights/Domain Names Perform TM searches, assist outside intellectual property counsel with obtaining information concerning TMs applied for and/or issued to Peters Corporation et. al. and Santa Fe Dining, et. al; calendar filing deadlines and maintain domain name filing deadlines (compliance/payments). Water Rights Create and maintain list and quantification of all water rights owned by Peters Corporation and/or any of its entities and the Peters Family. Prepare and file with the State Engineer's Office any Change of Ownership documents with regard to well and surface water rights. File all required meter readings requested by the State Engineer's Office with regard to wells owned by Peters Corporation, etc. Maintain calendar of all water rights deadlines set by State Engineer's Office with regard to water rights owned by the Peters Corporation, etc. Santa Fe Dining, Inc., and affiliated restaurants When requested, assist with HR/administrative/corporate/TM/property-related issues and/or transactions concerning Santa Fe Dining, Inc., and its restaurants. Prepare and file corporation/company documents in various states. Prepare stock certificates for issuance, transfer and/or cancellation. Prepare minutes and resolutions. Calendar corporation/company deadlines with regard to required state compliance filings. When requested, draft promissory notes, lines of credit agreements, assignment and transfer of shareholder and/or membership interests. Gather and assemble documents with regard to loan transactions. Prepare and maintain list of all Santa Fe Dining, Inc. entities and subsidiaries. Prepare employment agreements. Work closely with and assist liquor license attorney on all liquor license matters. Santa Fe Properties, Inc. Prepare corporate resolutions; file corporate reports. When requested, gather and assemble information with regard to purchase/sale transactions. Southwest Asset Management, Inc. Prepare corporate resolutions; file corporate reports. When requested, assist in preparation and review of commercial leases, sub-leases; gather and assemble documents with regard to loans, management-related matters, tenant-related matters.
