Under the supervision of the Chief Executive Officer Executive Director, the Chief Governance and Operations Officer (CGOO) shall provide oversight and direction for all Governance and Operations functions of the North Carolina Dental Society (NCDS), North Carolina Dental Society Foundation (NCDSF), and North Carolina Services for Dentistry (NCSD). The CGOO will ensure consistent and best-practice governance bylaws, policies, and protocols, and related operational implementation and excellence.CEO, CGOO, and other Sr. Leaders develop a periodic Strategic Plan to serve as governance and operational overarching direction. CGOO then makes sure all governance and operational rules support the Strategic PlanResponsibilitiesNCDSNCDSFNCSD Governance: The CGOO is a senior leader responsible for ensuring that NCDS and its subsidiaries have current, consistent, and effective governance bylaws, policies and procedures in line with all legal and regulatory requirements. The CGOO's governance responsibilities include: Governance frameworks: Developing, implementing, and maintaining best-practice governance frameworks and related documents including bylaws, policies, procedures, council and committee charterscharges, etc. Compliance: Ensuring compliance with legal and social expectations, and managing and updating the list of compliance expectations; works with outside counsel as needed Board and CouncilCommittee alignment: Ensuring that volunteer bodies have aligned requirements and management systemsBoard and CouncilCommittee guidance: Provides advice to volunteer bodies to help them make informed and effective decisions Board and CouncilCommittee accountability: Develop, coordinate, and implement accountability of volunteer bodies to organization and its members and other stakeholders Governance strategies: Orchestrating governance strategies, policies, and frameworks Governance Culture: Fostering a culture of transparency, accountability, integrity, and inclusivity.Governance Agility: Review, recommend and facilitate revisions that maintain appropriate oversight while improving organizational speed and nimblenessNCDSNCDSFNCSD Operations: The CGOO is a senior leader responsible for leading and overseeing NCDS and its subsidiaries day-to-day operations and long-term goals. The CGOO operational responsibilities include: Overseeing operations of the company - including finance, human resources, building operations, and reportingCoordinating departments to ensure different entities work together to achieve goalsCoordinates budget process working with stakeholders to provide proper resources across various priority areasprojects Providing performance reports, identifying areas for improvement, and making recommendations to the CEO Standing in for the CEO when heshe is unavailable and making appropriate decisions Develops, maintains and revises employee policies as neededManages annual performance evaluation and merit increase process working with supervisors across organizationPeriodically conducts total compensation market analysis and implements necessary changes as possible Creating policies that improve daily operations Devises and implements strategies and plans to achieve goals Contracts, manages, and oversees operational providers and relationships to ensure organizations are receiving quality products and services, as promised, and at competitive market pricing; maintains annual RFP cycle list and ensures complianceQualificationsEducation: BS or BA Degree Required MBA or MS Desirable CAE DesirableLocation: NCDSNCDSFNCSD office are in Cary, NC (Raleigh). In office required one day per week minimum (3 days during initial 90 day probationary period) or one week consecutive in office per month if resides out of market. Local candidates preferred.Technical Skills: Association or non-profit governance familiarity or oversight, Operations Leader, P&L management, negotiation, strategic planning.Relevant Experience: Minimum eight years of governance and or organizational management experience, with background in operations of non-profit professional and or trade association preferred. Experience directly supervising small team while working across multiple divisionsorganizations without direct supervision of all. $12MM+ in P&L responsibility. Passionate about mission-based organizations while maintaining financial sustainability.
