We offer integrated managed care products, pharmaceutical benefit management and specialty pharmacy services, behavioral health services, and other administrative services.Discover more about us at .Responsibilities:The Senior Corporate paralegal reports to the Deputy General Counsel, Corporate Affairs, and provides direct, key support to the Corporate Secretary's Office. Such support includes:;Provide primary support to the Corporate Secretary's Office and senior management with Board of Directors and Board Committee (including regulated and non-regulated subsidiaries) meeting preparation and related communications, including (i) drafting agendas; (ii) preparing approval items and materials; (iii) scheduling and coordinating the preparation, assembly and revisions of draft presentation materials, (iv) reviewing, organizing, proofing and publishing final Board presentation materials; and (v) preparing minutes, all with enhanced attention to detail.;Maintain corporate records, including minute books, officer and director information, resolutions and written consents and subsidiary company data for the AmeriHealth Caritas family of companiesResponsible for maintaining all aspects the companies' entity management database (hCue)Ensuring all required annual registration and/or periodic state and national corporate reports and regulatory filings are processed timelyResponsible for the incorporation/qualification of companies including drafting Articles of Incorporation, Bylaws, and other related documentsAssist with required insurance holding company filingsDrive timely completion of critical cross-functional work product, including communicating with and securing cooperation from directors, senior management, and other stakeholders throughout the enterprise in relation to corporate governance mattersMaintain records, including charters and meeting minutes of the Board of Directors and committees, governance bodies and related entitiesLiaise with, and support, corporate counsel as necessaryConduct legal and factual research and make initial recommendations regarding corporate governance mattersEducation/Experience:Bachelor's Degree requiredParalegal certification;5 to 10 years paralegal experience, with a minimum of 5 years of direct experience handling corporate governance mattersOther Skills:Experience with corporate governance matters associated with regulated insurance companies, preferably life/health insurance companiesExperience with state insurance departments especially during the period of state insurance department financial examinationsDemonstrated proficiency preferred in hCue and/or Diligent BoardsExceptional attention to detail with excellent verbal and written communication skillsHighly organized, precise, and proactiveAbility to represent the Legal Department/Corporate Secretary's Office to all levels of the organization by demonstrating sound judgement and discretion regarding confidential and sensitive mattersWell-developed legal research skillsAble to work independently, including formulating practical solutionsMonthly travel to the officeDiversity, Equity, and InclusionAt Amerihealth Caritas, everyone can feel valued, supported, and comfortable to be themselves.
