The successful candidate will be a key player in a fast-moving, collaborative legal environment, with a primary focus on a broad range of corporate and securities law matters. This role is pivotal in working on the company's most important corporate, governance, and securities issues, and will involve close collaboration with various stakeholders, including finance, accounting, treasury, investor relations, and people teams. The ideal candidate will be intellectually curious, creative, and capable of operating independently to identify and resolve legal and business issues in line with the company's strategic goals and risk thresholds. Applicants must be admitted to the bar in at least one U.S. state, with a preference for California or New York, and hold a law degree from an ABA-accredited law school. A minimum of 8 years' corporate and securities law experience, particularly in advising publicly traded companies, is required. Experience in-house at a publicly traded company, especially with a focus on technology and/or cybersecurity, is preferred. The role demands expertise in SEC reporting, corporate governance, securities law, and subsidiary management, as well as a working knowledge of executive compensation arrangements, equity plans, and shareholder activism. The candidate should possess excellent communication, interpersonal, and project management skills, and be adept at working with cross-functional teams under deadline pressure. A positive attitude, high empathy, and the ability to maintain poise in challenging situations are also essential.
