Our client, a global alternative asset manager, is seeking a Corporate Paralegal who will play a critical role within the firm's in-house legal team, focusing on Corporate Governance operations. Key responsibilities include maintaining corporate records, supporting board activities, managing filings, and assisting with various corporate matters. The ideal candidate will excel in a fast-paced environment and have a solid grasp of corporate governance and legal processes. This candidate can be based in either Los Angeles or New York.Key **• Corporate Governance & Entity ** Oversee the formation, qualification, management, and dissolution of investment and corporate entities. Ensure governance compliance, maintain organizational charts, and manage records for subsidiaries and joint ventures.• Contract & Document ***** Draft, review, and revise legal documents, including confidentiality agreements and business contracts. Support transaction processes, including closing checklists and Board materials, and assist in drafting resolutions and minutes.• Technology & Process ***** Leverage technology to streamline legal operations, improve reporting, and maintain organized filing systems for documents and correspondence.• Due Diligence ***** Assist with internal and external due diligence processes, ensuring accurate documentation and compliance. • Compliance & ***** Coordinate compliance with securities, tax, and state filings. Manage filing deadlines and regulatory calendars.• Legal Document ***** Draft, review, and distribute legal documents, including UCC filings, resolutions, meeting minutes, notices, proxies, and shareholder communications. • Special Projects & General ***** Handle special projects and provide comprehensive legal operations support as needed.RequirementsPreferred **• At least 15 years of experience as a corporate paralegal, gained within a law firm or corporate legal department, with a focus on corporate governance. • Must have in-depth knowledge of complex corporate organizational structures, governance, principals, practices, and procedures. The candidate must have experience establishing and maintaining corporate entities, preparing resolutions and minutes, corporate governance, contract review and monitoring transactions. • Must be onsite in either Los Angeles or New York office 3-4 days/week.Skills & **• Exceptional interpersonal abilities, including comfort in interacting across all levels of an organization, ability to lead team members and adapt communication styles to suit different audiences. • Proven track record of managing organizational or entity structures. • Demonstrates high standards of integrity and ethical conduct. • Capable of working autonomously while handling multiple projects simultaneously. • Strong organizational and time-management skills. • Excellent written and verbal communication skills. • Undergraduate degree is required. Certified Paralegals strongly preferred. • Strong computer skills (Excel and Adobe) and proficiency using Microsoft Office applications.
