Position SummaryThe Senior Paralegal, Corporate - Finance assists attorneys in various stages of corporate transactions and provides a vital service in preparing and verifying necessary documents to comply with local regulations.Essential Duties and Responsibilities Typical responsibilities include, but are not limited to, the *****Draft correspondence and documentation under lawyer supervisionAssist with due diligence matters by organizing and reviewing documentsRevise, proofread, and distribute draft agreements and other transactional documentsGather, organize, and maintain precedent collectionsAssist with reviewing collateral documentationPerform lien searches with detailed reviewPrepare and file various liens with applicable jurisdictionsPrepare, distribute, and collect signature pagesObtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictionsAssist attorneys with pre-closing and closing transactionsHandle post-closing matters, including the preparation of closing setsConduct factual research assignments and draft memorandaCoordinate with internal and external working groups to facilitate transaction executionQualifications/Position RequirementsAbility to manage a varied workload and meet deadlinesMust be punctual and reliableProficient in MS Word, Excel, PowerPoint, Outlook, and other applications as neededStrong interpersonal skillsMust be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitudeExcellent written and verbal communication skillsStrong organizational skills and attention to detail Ability to proofread typed material for typographical, spelling, and grammatical errorsEnsure confidentiality of all the Firm's and clients' documentation and informationEducation and/or ExperienceBachelor's degree with a strong academic record is requiredMinimum 3 plus years related experience preferredCompensationThe expected base salary for this position ranges from $100,000 - $120,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained.
