The firm is very community-oriented, whereby pro bono service and corporate social responsibility are part of its core.RESPONSIBILITIES:Form entities in NY and virtually every other state in the continental U.S.Check the availability of names through the Department of State and reserve names.Draft and file formation documents with the Secretary of State; prepare organizational minutes, bylaws, and operating agreements.Arrange for mandatory publication of newly formed LLCs.Obtain and organize minute book, and corporate seal, prepare stock certificates, complete stock ledger, and maintain corporate records.Obtain employer identification numbers for tax purposes from IRS secure database.Draft Assignment and Assumption Agreements, and other corporate documents.CORPORATE TRANSACTIONSObtain information and file documents necessary to qualify corporations to transact business in foreign states.Prepare Assumed Name Filings and Dissolution Certificates which would include orchestrating final tax information.Obtain Good Standing Certificates directly from the Department of State.Order, analyze, and prepare a matrix of UCC, judgment, lien, and bankruptcy search results.Handle various SEC Form D filings with attorneys.Perform Lexis background searches on individuals and companies.Online research to obtain information on various corporations.Proof and compare documents received from opposing counsel.Responsible for handling all corporate department audit information requests.Handle Private Investigator licensing applications.
