Consilio Enterprise Talent Solutions is actively recruiting for a Corporate Paralegal on behalf of our client, a top automotive supplier company. This person will assist in-house Legal Counsel in supporting the global legal needs of the company. 5+ years of directly relevant experience in a top law firm or corporate legal department required.The following job/task functions have been identified as the core functions of this position; however, the supervisor or manager may assign additional duties associated with this position:Complete management of subsidiary corporate governance including drafting shareholder and board resolutions and officer certificates.Maintain entity management database to ensure corporate subsidiary information is current, including ownership, members, officers, qualifications, etc.Maintain corporate minute books and records for all domestic subsidiaries.Maintain and update corporate organizational charts for all domestic and foreign subsidiaries.Provide transactional support, including drafting ancillary documents/resolutions, as needed, obtaining director, officer and/or shareholder signatures and distributing documents, etc. for all legal transactions and other functional areas as needed.Respond to third-party subpoenas, including coordination with the functional team for collection of documents, review and redaction of responsive documents, and draft response for timely submission.Assist Payroll team with garnishment matters.Maintain/track legal fees and submit invoices to AP for payment.Manage trademark registrations and monitor trademarks and usage for infringement.Maintain lease chart to track expiration dates and update terms for all leased facilities.Assist with administration of Ethics Alert hotline.Administer Employment Practices Liability (EPL) claims, including initial correspondence and reporting/tracking updates to carrier.Organize and maintain all legal department files.Manage record retention compliance for legal department.Prepare legal and business communications as needed.Review NDAs and provide comments to functional team.Prepare Powers of Attorney and other legal documents as requested.Support tax/treasury/legal intercompany loan process and draft appropriate documentation.Responsible for adhering to all internal and OSHA required safety procedures in performing daily work activities.Maintain a positive working relationship with all levels of the organization.Assure compliance with federal, state, local and corporate policies regulations and laws.Project Management assignments.REQUIRED EDUCATION, EXPERIENCE, & SKILLSTwo- or Four-year Degree in Paralegal Studies from an ABA accredited college or university. Bachelor's Degree in business management, related field or equivalent experience preferred.Minimum of five (5) years' experience in corporate legal department or law firm preferred.Excellent attention to detail and accuracy.Excellent analytical and research skills.Excellent communication and organizational skills.Ability to work in a fast-paced environment.Ability to work well with others in a team environment.Proficient in Microsoft software.Ability to read and write in English and perform basic mathematical calculations.PHYSICAL DEMANDS, WORK ENVIRONMENT AND OTHER REQUIREMENTSDuties include but are not limited to stand, walk, twist, bend, lift, see, talk and hear, and ability to travel.
