Senior Associate Attorney - Real EstateGambrills, MDSummaryThe Senior Associate Attorney opportunity is a new opportunity within a high-growth full-service real estate law firm based in Gambrills, MD. With extensive expertise within real estate transactions and development, this is a unique opportunity for an entrepreneurial early, mid-level, or highly experienced attorney to join a leading firm known for its excellent culture and track record of promoting professional growth. Based in the firms newly expanded corporate office in Gambrills, MD, the Senior Associate Attorney role will offer an uncapped compensation package including a base salary in the $150,000 to $175,000 range plus a generous individual bonus plan, company annual bonus, performance bonus, comprehensive firm paid benefits plan, as well as unique profit-sharing equity programs. Ideal candidates will have relevant real estate transaction experience including experience supporting development clients and/or large homebuilders. This opportunity will not require an established book of business or new business development; however, it will offer excellent compensation commission for personal client origination. This is an in-office than not, team-oriented position with possible hybrid work from home flexibility and excellent work-life balance.Job DescriptionSupport the firms Homeowner's Association and Community Association practice representing the interests of developers, businesses, institutions, and transition homeowners' associations (HOAs) in Maryland, Virginia, Delaware, and Washington, DC in legal matters involving real development projects and HOA formation. Represent developers and home builders with formation and governance matters involving homeowners, condominium and community associations, including HOA documents, covenants and easements for residential and mixed-use developments. Manage the various moving parts involved in successfully bringing a project to fruition and transitioning to association governance. Assists clients in establishing the infrastructure and governance of development projects, from drafting declarations, bylaws and amendments, and board resolutions, to dealing with general governance, enforcement, and liability issues. Provide expert legal assistance with issues such as: Establishing HOAs, Establishing Master HOAs and Sub-HOAs, establishing multi-use HOAs, Creating common easements, covenants, conditions and restrictions for residential, master, and multi-use HOAs. Negotiate and document transactions for both homebuilders including drafting and amending agreements such as purchase/sale contracts, TIC agreements, and HOA agreements.Advised community associations on rules and operations and the enforcement of HOA bylaws and rules.Work collaboratively and support the firms complementary practices in Real Estate Transactions, Zoning, Land Use, and business law. Support development clients with associated general real estate matters including land use, zoning and planning, and real estate litigationAssist developers and home builders with formation and governance matters involving homeowner, condominium, neighborhood, and community associations, including HOA documents, covenants, easements, and maintenance agreements. Represent homebuilder clients in multi-million dollar real estate transactions and projects in refinancing and ownership restructuring, facilitating the purchase of interests in ground leases, creating the entities to hold title to the properties, negotiating and closing, assist in documenting for real estate acquisitions, development, construction, and sell side transactions. Establish and maintain trusted relationships with network of industry contacts including land brokers, land developers, investors, landowners, other homebuilders in respective areas of operation.Required experience/Skills:Juris Doctor degree from an ABA-accredited law school and licensed to practice in the state of Maryland3-15 years relevant real estate development and transactional law (e.g., real estate transactions, urban redevelopment, land use) experience as an attorney, with a focus on development and acquisitions.Experience within HOA formation and governance representing development or builder clients. Experience with regional real estate market within Maryland, DC, Delaware, or Virginia. Entrepreneurial and hands-on with a strong work ethic and excellent communication and relationship development skillsProcesses the ability to analyze problems, propose alternatives, and recommend solutions, along with the ability to research complex issues and prepare memoranda and correspondence; and have experience working effectively with multiple competing deadlines and interests among various parties.
