Upperline Health is based out of Nashville, TN and has operations in 130+ clinic locations across Alabama, California, Florida, Georgia, Indiana, Kentucky, and Tennessee.We put patients at the center of value-based care.About the Director of M&A RoleUpperline Health is seeking a Director of Mergers & Acquisitions (M&A) to lead and drive the financial and strategic evaluation of acquisition opportunities. This person will be a critical leadership position of a fast-paced team and will report directly to the Chief Development Officer (CDO). The Director of M&A will play a pivotal role in shaping the company's inorganic growth strategy, leading financial diligence, and influencing executive decision-making.Upperline offers a unique opportunity for individuals interested in being part of an innovative, high-growth culture at an organization leading the country in value-based specialty care. As Upperline continues to expand rapidly, this position will have a significant organizational impact, with broad exposure to the executive leadership team and a range of future growth trajectories within the company.What Youll Do:Financial Analysis & ModelingBuild sophisticated, dynamic financial models to evaluate potential acquisition targets, integrating deal-specific nuances and market assumptions.Conduct detailed proof of cash analysis and quality of earnings (QoE) assessments to validate financial data. Partner with finance and external QofE partners for larger deals to ensure accuracy and alignment with company objectives.Provide strategic insights and financial analysis to support deal structuring, including cash flow impact, ROI, and risk assessment.Create and maintain comprehensive M&A tracking dashboards and reporting tools for executive leadership.Provide support for ad hoc analysis and reporting requests from executive leadership team.Strategic Deal Execution & Due DiligenceLead the financial due diligence process, identifying key risks, opportunities, and integration considerations.Manage and refine M&A playbooks, ensuring best practices are embedded across deal processes.Assess synergy realization plans and cost-benefit analyses post-transaction.Collaborate with legal, finance, and operations teams to structure transactions and support integration planning.Partner with the executive leadership team to align M&A activity with the company's broader growth strategy.Market ResearchConduct in-depth market research on acquisition targets.Develop and maintain a robust pipeline of acquisition opportunities, leveraging internal and external relationships.Collect/manage large amounts of data and prepare customized databases.Cross-Functional Collaboration & Integration SupportWork closely with operations, finance, and clinical teams to ensure seamless integration of newly acquired practices.Provide post-close financial monitoring, tracking the performance of acquired entities against expectations.Support post-merger integration strategies by advising on operational efficiencies and financial alignment.Collaborate with business intelligence and analytics teams to enhance M&A data-driven decision-making.Required Skills and Competencies:7+ years of experience in M&A, investment banking, private equity, corporate finance, or a related field.Expert level financial modeling skills with a strong skillset in Excel and other financial analysis tools.Deep understanding of deal structuring, transaction execution, and integration best practices.Exceptional strategic thinking and problem-solving abilities with a data-driven approach to decision-making.Demonstrated ability to manage multiple transactions simultaneously, balancing speed and thoroughness.A sense of urgency that prioritizes prompt action and responsiveness in achieving goals or addressing issuesSelf-motivated and proactive, demonstrating exceptional follow-through and the ability to work independently with minimal supervision.
