POSITION OVERVIEW:The M&A Due Diligence and Integration Leader will be responsible for managing the end-to-end process of mergers and acquisitions (M&A) due diligence and post-acquisition integration efforts. This individual will work closely with senior leadership, functional teams, and external advisors to ensure seamless integration of acquisitions and alignment with strategic objectives. The ideal candidate will possess strong project management skills, deep financial and operational expertise, and a proven track record in successfully leading M&A activities.KEY RESPONSIBILITIES:Due Diligence:Lead and Manage Due Diligence Process: Oversee the full spectrum of M&A due diligence, including financial, operational, legal, and commercial assessments.Collaborate with internal stakeholders and external advisors (e.g., legal, financial consultants, tax experts) to ev1aluate potential targets.Develop and execute detailed due diligence plans and timelines, ensuring alignment with deal objectives.Identify key risks and opportunities and prepare detailed due diligence reports and presentations for senior management.Financial Analysis and Assessment: Review financial statements, projections, and key performance indicators (KPIs) of target assets.Analyze financial and operational performance, identifying potential synergies, cost savings, and areas of concern.Assess valuation models and recommend deal structure based on financial insights.Risk Mitigation: Highlight and quantify key risks associated with the target asset, including financial, regulatory, and operational risks.Propose solutions or mitigation strategies to address identified risks.Coordinate Cross-Functional Teams: Facilitate collaboration between legal, finance, operations, HR, and other key departments involved in the due diligence process.Manage the gathering and analysis of due diligence data to ensure timely and accurate reporting.Integration: Integration Planning and Execution: Lead the development and execution of detailed integration plans across various functional areas such as operations, IT, HR, and finance.Define integration milestones, deliverables, and KPIs to ensure successful integration.Identify and prioritize key integration initiatives and coordinate resources to achieve synergies.Change Management: Develop and lead change management strategies to ensure smooth transitions for employees, customers, and other stakeholders.Address cultural alignment and employee integration, ensuring alignment with organizational values and goals.Stakeholder Management: Act as the key point of contact for all integration-related activities, ensuring transparency and clear communication with senior leadership and relevant teams.Provide regular updates on the integration progress, addressing any roadblocks or issues that arise.Synergy Realization: Track and measure synergies and cost savings realized through the integration process.Ensure that capabilities and culture are effectively integrated to enhance overall organizational performance.Post-Investment Evaluation: Conduct post-integration reviews to assess the success of the acquisition and integration efforts.Document lessons learned and recommend process improvements for future M&A transactions.Key Requirements:Experience: Minimum 8-10 years of experience in M&A, with a focus on due diligence and integration.Proven track record of leading complex M&A transactions and integration projects in a leadership or senior project management capacity.Education: Bachelor's degree in Business Administration, Finance, or a related field (Master's or MBA preferred).Skills and Competencies: Strong understanding of M&A processes, financial modeling, and valuation techniques.Excellent project management skills with the ability to handle multiple priorities and meet deadlines.In-depth knowledge of financial statements, risk assessment, and regulatory compliance.Exceptional communication and interpersonal skills to work effectively with senior leadership, cross-functional teams, and external stakeholders.Ability to navigate organizational complexity and drive change.Experience in leading change management and employee integration efforts.Key Attributes: Strategic thinking with a focus on long-term business success.Strong leadership and decision-making capabilities.Ability to thrive in a fast-paced, high-pressure environment.Results-driven with a strong focus on delivering value and meeting business objectives.SePRO Corporation provides equal employment opportunities to all employees and applicants for employment and prohibits discrimination and harassment of any type without regard to race, color, religion, age, sex, national origin, disability status, genetics, protected veteran status, sexual orientation, gender identity or expression, or any other characteristic protected by federal, state or local laws.
