Salary: $200,000 - $235,000 per year A bit about us: Our client is actively recruiting for an experienced associate to join their corporate and securities practice group in Manhattan. This opening is with a well respected mid size commercial litigation firm that provides comprehensive legal services for business and corporate matters. Interested attorneys must have a minimum of 4 years in practice for a corporate practice group and securities experience. The incoming attorney will join an established tight-knit team of corporate attorneys that has extensive collective experience representing issuers and underwriters in capital market transactions for domestic and international companies. Below are examples of common securities transactions handled be the firm: Registered Offerings: Primary and secondary equity and debt offerings under the Securities Act of 1933. Unregistered Offerings: Private placements, Rule 144A transactions, commercial paper programs, and securities issued under court-approved plans. PIPEs: Private investments in public equity. Cross-Border Transactions: U.S. offerings by foreign issuers and offshore offerings by U.S. issuers under Regulation S. Mergers and Acquisitions: Security issuances related to M&A activities. Ownership Filings: Security ownership filings under the Securities Exchange Act of 1934, including Schedules 13D and 13G, and Section 16(a) reports. "Going Private" Transactions: Legal advice on transactions to take a public company private.
