Job Summary:This position provides legal advice, recommendations, oversight and guidance with respect to all legal issues and areas of law that impact the organization, with an emphasis in corporate finance, M&A and real estate. This position regularly handles the negotiation of a wide array of incoming agreements from all divisions within the Company, as well as the review and drafting of other legal documents, such as policies, guidelines, and presentations. This individual, under the direction of the Assistant General Counsel, will provide counsel to business partners and management within the Company, as well as to the Company's membership, and will act as a liaison and consult with outside legal counsel, as necessary.This position also advises the business partners and management of one or more subsidiaries on legal issues and risks impacting the subsidiary, in order to support the achievement of long term business goals and to ensure that the subsidiary's legal strategy and positions are consistent with the legal strategy of the parent company. Using business acumen and legal skills, this individual will assist the Assistant General Counsel in the speedy administration and management of all legal matters.The counsel's perspective should always be the advancement of the organization's interests through the understanding and knowledge of the organization's business activities and operations and the reduction of legal risk to acceptable levels.Essential Job **Acquisitions / Divestitures / Transfers of wholesale and supermarket assetsReal Estate-Site Development Committee liaison-Lease Negotiation-Lease Interpretation and AdministrationFinance-Company and subsidiary secured and unsecured financings and lines of credit-Company loans to member organizations-Company inter-creditor agreements with lendersCommercial Law-Prepares, drafts, and negotiates various standard and non-standard contracts for the organization to ensure they comply with the business requirements and organizational policy.-Advises on matters involving advertising, intellectual property, trade and anti-trustAdvise and counsel senior management with respect to other legal issues as they ariseMay be assigned additional responsibilities as necessary.Minimum Requirements: Minimum 8 - 12 years law firm and/or in house corporate experienceLaw Firm experience a plusJD Degree and licensed to practice in New JerseyExcellent writing and computer skillsExcellent Presentation skillsDesired Areas of Knowledge:CommercialTransactionalCorporateReal Estate**Communicate EffectivelyBuild RelationshipsStay CompetitiveEmbrace ChangeDevelop YouDrive For Results
