In this new role, you will be responsible for governing the employer-employee relationship, upholding and protecting the obligations and rights of both parties, and managing all legal and contractual matters of the organization in conjunction with outside attorneys and affiliates' legal departments.What You'll Do Every Day:Perform all aspects of legal services in assigned areas of legal specialization and primarily responsible for developing and representing the Company's legal positions in such areas.Provide senior management, internal departments with legal support and adviceHandle formation of business organizations and corporate governance mattersHandle a wide variety of claims by or against the Company which may include attending administrative hearings, arbitrations and mediations.Assist in Company's acquisitions, including due diligence review, drafting and reviewing contracts and negotiating and preparing closing documents.Assist in preparation and review of contracts regarding customers, dealers, distributors, banks, consultants, vendors, leasing companies and governmental agencies.Supervise and coordinate the activities of outside legal counsel retained by the organization.Assist the company in labor, employment and immigration matters.Assist with development of Company's policies and procedures to ensure legal compliance.Identify risks and propose alternative structures to mitigate risks involved in potential transactions.Participate in major customer, dealer and management functions to understand Company's business and goals, and to assure legal compliance.Keep up to date with new developments in employment legislationOversee compliance activities to ensure adherence to relevant laws and regulations.Implement and monitor internal control systems to safeguard company assets and prevent fraud.Collaborate with the internal teams to identify compliance risks and develop training programs for employees.The Ideal Candidate:Minimum 5 years of experience in corporate counsel capacity or with law firm counselling businesses and corporationsJuris Doctor degree from an accredited law school requiredHigh level of accuracy and attention to detailExcellent research and organizational skillsExcellent communication skills with the ability to explain legal matters in a clear, concise mannerStrong negotiation and drafting skillsA good sense of judgment along with the ability to make difficult decisionsAbility to interact directly with the Japan headquarters, making experience in a Japanese company or reporting to a non-US headquarters in a multinational environment highly desirable.What We Offer:Work for a large successful global organization that is considered an innovative leader in HVACCasual Work EnvironmentComprehensive health and dental plan, life, and disability insurance401(k) program with company matchPaid Time Off and HolidaysSalary commensurate with experienceFGAI is an equal opportunity employer to all employees and applicants regardless of a person's race, color, religion (including religious dress or grooming practices), creed, national origin (including language use restrictions), citizenship, uniform service member or veteran status, ancestry, disability, physical or mental disability (including HIV/AIDS), medical condition (including cancer and genetic characteristics), genetic information, request for protected leave, marital status, sex, pregnancy, age (over 40), sexual orientation, gender, gender identity or expression, political affiliation, or any other characteristic protected by law.
