Funds Counsel

A reputable client is seeking a high-performing and experienced Private Funds Counsel to join their dynamic legal team. The ideal candidate will have a strong background in in the formation and operation of private funds, including private equity, venture capital, credit, fund of funds, and real estate funds. The successful candidate will possess excellent analytical, communication, and negotiation skills, and will thrive in a fast-paced, collaborative environment. This role will sit in New York, NY.Responsibilities:Lead the formation and ongoing operation of various private funds, including private equity, venture capital, credit, fund of funds, and real estate funds.Advise on and manage related investment vehicles such as co-investment vehicles, continuation funds, secondary transactions, and GP stakes transactions.Draft, review, and negotiate fund formation documents, offering memoranda, subscription agreements, and other related legal documents.Ensure compliance with applicable securities laws and regulations, including the Investment Advisers Act, the Investment Company Act, and other relevant regulations.Provide strategic legal advice to clients on fund structuring, formation, and operation, as well as on investment strategies and regulatory matters.Oversee and manage transactions related to fund formation, investments, and secondary market activities.Qualifications:Juris Doctor degree from an accredited law school.Active admission to the New York state bar.Minimum of 10+ years of experience with the formation and operation of private funds and related investment vehicles.Strong knowledge of securities laws and regulations.Excellent drafting, negotiation, and communication skills.Ability to manage multiple projects and meet deadlines in a fast-paced environment.Benefits:Competitive salary and performance-based bonuses.Comprehensive health, dental, and vision insurance.Generous paid time off and flexible work arrangements.Collaborative and inclusive work environment.Interested candidates are welcome to apply directly through the link above for immediate consideration!
