Based in either Garland TX (Greater Dallas Area) or Broomfield CO (Greater Denver Area), both key corporate locations; this critical role will be responsible to support the company's growing business needs throughout the Americas (North and South America, Latin America and Mexico). Housed within the corporate Group Legal function (a global organization headquartered in Stockholm, Sweden) which includes Group Compliance and Group Risk Management & Insurance, the Legal Group is comprised of passionate, smart Attorneys based in Sweden, the US, China, Kazakhstan, Australia and Canada. Position Overview:Reporting to the Senior Vice President and General Counsel you will be responsible to organize, manage and provide strategic legal support to the Americas, as well as to act as an extended arm of the corporate Group Legal team, based in Sweden. This position will provide legal advice and support to existing and acquired businesses in the United States, Latin America and Mexico; and assists in global legal matters as required, including to help implement global strategy.Managing a diverse geography, comprised of multiple business entities, with ongoing expansion in market - both from organic growth and due to mergers and acquisitions, the work is varied, interesting and complex, and spans a gamut of corporate matters, all with a common thread of protecting the entity and delivering excellence. With strategic company expansion across the globe, and with a recent large acquisition having closed in the US; acquisition integration, heavy contract review and senior management support will remain a key focus of this position.Possessing at least 15+ years of business / commercial law experience where you have advised on a wide range of topics including drafting and negotiating large contracts, corporate entity management, intellectual property, litigation, and mergers/acquisition; you are a methodical thinker, with excellent communication skills who is yearning for challenge and change. Licensed to practice, your previous experience working as an in-house Attorney within a global organization where you have managed legal teams, set strategy, and partnered with both the business itself and the leadership that manages same, will be appreciated, and valued. Primary Responsibilities:Legal Management, Strategy and Oversite: Develop, implement, oversee, manage, and provide strategic legal direction for the Americas, with the aim of preventing and/or mitigating overall legal exposure Manage complex legal and litigation issues: Manage and support business entities in cost-effective and timely resolution of business disputes and litigation matters.Contract negotiationReview and lead in negotiations of major agreements including frame agreements, contracts, joint development agreements, supply agreements, dealership arrangements Effectively collaborate with other team members (lawyers) across the globe to identify and manage legal risksProvides legal advice to meet strategic goals and to protect business reputation, interests and ensure compliance with relevant laws and regulations.Provide legal advice on behalf of the Company to Executives, Managers, Employees, and business units and staffMergers and AcquisitionsTake lead in the legal part of transactions such as mergers, acquisition, and divestiture activities in the AmericasExternal Service Providers: Manages and liaises with external legal counsel and ensures that outside legal service providers are meeting expectations Global ProjectsParticipate in global legal projects as assigned from time to timeTraining: Provides legal training for managers and employeesAssists in investigation and resolution of any legal issues that arise and provide direction to developing and implementing corrective actionsGovernance: Ensures good corporate governance and management of all corporate filings and requirements, serving as corporate secretary and subsidiary corporate board director as needed to ensure local legal and governance requirements are met.Reporting: Ensure the Group (Corporate) Legal General Counsel is informed of legal risks and exposures in the Americas that may have a material impact Act with a high degree of initiative, independence, and integrity to identify and recommend appropriate courses of action, bringing to bear legal guidance and business acumen.Education, Knowledge and Experience RequirementsUndergraduate university degree and a professional graduate degree in Law (JD)Licensed to practice and in good standing A minimum of 15+ years of senior level legal experience in business/ commercial law where at least half was acquired as an in-house counsel.Significant leadership experience, acquired in support of a global entity.Experience working within the mining, construction, and/or heavy equipment industry, preferred.Experience working internationally, within a global company, and with individuals from different cultures and countries.Knowledge of US federal and state laws and regulations, including, but not limited to, US mining and construction laws and regulationsStrong interpersonal, communication, presentation, negotiation, and problem-solving skills Ability to read and understand complex legal documents, regulations, and court documents, and to interpret them and translate complex legal issues into easily understandable language.Understand the priorities, agendas, and concerns of colleagues; possesses general knowledge and understanding of business driversAbility to travel up to 20%The Right Fit (Behavioral Characteristics):Practical, business-minded, efficient, and collegialDemonstrated ability to work in a dynamic and fast paced environment effectively managing significant and multi-faceted workload efficiently.Possess analytical and critical thinking skills required to compile, evaluate, interpret, and present information (both qualitative and quantitative) relating to a broad range of legal issues and processesA results-oriented professional with strong commonsense, attention to detail and a solid business acumenUnderstanding technical concepts and interest in technology, experience in resources industries (mining, construction) helpfulIndependent, autonomous, and authoritative with independent decision-making abilityHumble and unpretentious with a "roll up your sleeves" attitude and ability to do so, when neededWe Offer:Long term interesting & meaningful employment Belonging - You are a critical member of our team.
