Senior CounselPosition Overview:We are seeking an experienced, commercially minded, and versatile Senior Counsel to establish and lead a best-in-class legal function. This individual will ensure compliance with global laws and regulations while safeguarding the General Partner (GP) and the firm's interests. The ideal candidate will have a deep understanding of complex fund structures, administration, and capital raising. They should be adept at communicating effectively with stakeholders at all levels, particularly C-suite executives, and possess strategic thinking skills.The ideal candidate should be comfortable engaging with granular details while maintaining a pragmatic, commercial approach.Key Responsibilities:Lead all legal activities globally, with occasional external counsel support.Partner closely with the CFO, COO, CEO, trading teams, and other key stakeholders to provide strategic legal guidance.Oversee and manage all legal documentation and agreements, ensuring records are accurate, organized, and up to date.Provide transparent and trusted legal support for investor negotiations and updates.Review, draft, and negotiate a range of transactional documentation, identifying risks and offering practical solutions.Negotiate new FCM, DMA, and borrowing base agreements to support firm operations.Advise on complex international laws and regulations relevant to the fund's business environment.Provide legal due diligence support for new business opportunities.Collaborate with the Head of Compliance on regulatory matters.Contribute to firm policies and procedures, including drafting and implementation.Provide input into budgets and work plans to support legal and business objectives.Required Experience & Knowledge:Significant experience in funds, private equity, or financial services, with expertise in fund structuring and administration.Deep knowledge of complex fund structures across multiple jurisdictions.Strong background in fund documentation, including LPAs, side letters, IMAs, and institutional investor agreementsFamiliarity with financing agreements for FCMs, DMAs, and borrowing base facilities.Ability to review and advise on general business contracts, including HR, vendor, subscription, and ISDA agreementsUnderstanding of when to escalate issues to external counsel or internal leadership.Awareness of employment law is advantageous.Experience with transactional and bespoke asset purchase agreementsMinimum Qualifications:•Juris Doctor (JD) from an accredited law school•Must be a qualified lawyer and licensed to practice law in United States•Active member in good standing of at least one state bar•Complex fund experience required•Minimum of 8-10 years' experience•Excellent communication skills
