Title: Legal Counsel/Associate General CounselFirm: Growing Alternative Credit ManagerLocation: New York, New YorkCompensation Range: $300k - $400k all in (base + bonus)Legal Counsel/Associate General Counsel (New York, New York): Our client, a start up hedge fund with significant backing from a PE firm, is seeking a versatile legal professional to join their team. This role is a unique combination of legal and regulatory responsibilities, providing an opportunity to work alongside the GC/CCO and take ownership of legal functions.Key Responsibilities:Fund Formation:Oversee the structuring, launch, and documentation of new investment funds and products.Draft offering documents, partnership agreements, and side letters.Prepare and update private fund offering documents and manage matters related to the life cycle of open- and closed-ended private funds.Legal Counsel:Provide guidance on the offering and operation of investment funds, managed accounts, and compliance with domestic and international securities laws.Address valuation committee and best execution matters.Contract Negotiation:Draft and negotiate investment advisory, sub-advisory, placement agent, and marketing agreements.Review non-disclosure agreements.Marketing & Compliance:Review marketing materials to ensure compliance with regulatory requirements.Oversee trade and expense allocations to maintain adherence to policies.Portfolio Transactions:Support portfolio investments, including direct lending and special situations.Collaborate with the investment team to structure investments effectively, including on tax matters.Operational Support:Contribute to strategic initiatives, new business lines, and third-party vendor agreements.Coordinate with outside counsel as necessary.Regulatory Guidance:Advise on regulatory developments, including the Investment Advisers Act and private fund offerings.Handle regulatory compliance matters alongside the GC/CCO and external counsel.Qualifications:Experience: 4-6 years in the private funds or investment management practice of a top law firm or in-house at a large asset management company. Prior experience with hedge funds is highly valued.Problem-Solving: Strong ability to identify legal and business issues, with a focus on clear communication and effective decision-making.Drafting Expertise: Excellent writing skills for drafting agreements, legal memoranda, and regulatory documents.Organizational Skills: Proven ability to prioritize, follow up, and manage complex matters involving outside counsel and internal stakeholders.Adaptability: Comfortable multitasking and excelling in a fast-paced, team-oriented environment.Detail-Oriented: A meticulous and thoughtful approach to work.JD Requirement: Must hold a JD
