This role requires a commitment of two to three days per week, with one day per week onsite in Manhattan. The Corporate Counsel will focus on transactional matters, loan agreements, governance issues, and managing outside counsel relationships, while also overseeing and providing guidance to an in-house paralegal.This is an exceptional opportunity to work within a mission-driven, not-for-profit organization. The role offers predictable hours with a long-term, indefinite duration and the opportunity to be integrated into multiple areas of the organization.About the Client:Our client is a not-for-profit organization that facilitates lending through loan funds and bank lines of credit, providing financing to healthcare institutions and large non-profits with loan amounts ranging from $1M to $10M+. Some loans are collateralized with real estate, while others involve grant agreements. Key Details:Commitment: Part-time; 3 days per week Location: Hybrid, 1 day per week onsite in Manhattan Start Date: March, 2025 Compensation: Full-time equivalent of $180,000 to 220,000 per year (pro-rated based on part-time hours).Responsibilities:Contracts & Transactions:Work on loan transactions, including loan extensions, maturities, and documentationReview, negotiate, and facilitate loan agreementsCoordinate with outside counsel on transactional and litigation mattersEnsure loan extension requirements are met and completed efficientlyGovernance & Compliance:Review and interpret bylaws to manage governance-related issuesOversee director recruitment and ensure compliance with governance proceduresAssist in policy development and organizational complianceManagement & Oversight:Work closely with the in-house paralegal, ensuring tasks are handled effectivelyProvide guidance and oversight to in-house paralegalQualifications:Juris Doctor (JD) with an active law license4-10+ years of transactional legal experience (a plus if experience is in loan transactions, public finance, or corporate law)Prior work in a mission-driven organization or nonprofit sector is valuableStrong interpersonal skills and the ability to integrate across different areas of the organizationComfortable managing outside counsel and handling both transactional and governance mattersPreferred Skills and Experience:Experience working with loan funds, bank credit lines, or structured finance a plusBackground in public finance or nonprofit lending a plusStrong organizational and communication skills, with the ability to work autonomously in a part-time capacityAbility to balance legal work with operational needs, providing pragmatic solutionsJoin Us: At Tenor Legal, we're redefining the legal services industry.
