About the job: We are seeking a highly skilled and motivated Corporate Attorney to join our esteemed legal team in our growing Corporate Transactional Department. As a key member of our firm, you will have the opportunity to work on complex corporate transactions, advise clients on legal matters, and contribute to the strategic growth of our practice. Responsibilities:Provide legal counsel and strategic advice to clients on a wide range of corporate matters, including mergers and acquisitions, corporate governance, securities regulations, and contract negotiations. Conduct thorough legal research, analyze complex issues, and prepare well-reasoned legal opinions and memoranda. Draft and review legal documents, including contracts, agreements, and corporate policies, ensuring compliance with applicable laws and regulations. Assist in due diligence processes for corporate transactions, including reviewing and analyzing financial documents, contracts, and other relevant materials. Collaborate with cross-functional teams, including finance, tax, and compliance, to ensure seamless execution of corporate transactions and compliance with legal requirements. Participate in negotiations and discussions with opposing counsel, clients, and regulatory authorities. Stay updated on changes in corporate law, regulations, and industry best practices, and provide recommendations for adapting firm strategies accordingly. Mentor and supervise junior attorneys, providing guidance and support in their professional development. Build and maintain strong relationships with clients, providing exceptional client service and delivering solutions that meet their business objectives. Qualifications: Juris Doctor (J.D.) degree from an accredited law school. Admission to the bar and in good standing in the state where the firm is located. 5-7 minimum years of experience in a reputable law firm or corporate legal department, with a focus on corporate law. Strong knowledge of corporate transactions, securities regulations, corporate governance, and contract law. Exceptional legal research, analytical, and problem-solving skills. Excellent written and verbal communication abilities, with the capacity to effectively communicate complex legal concepts to clients and colleagues. Proven ability to manage multiple projects simultaneously, meet deadlines, and prioritize tasks effectively. Detail-oriented mindset with strong organizational skills and a keen eye for accuracy. Collaborative team player with excellent interpersonal skills and the ability to build relationships with clients and colleagues. Demonstrated commitment to professional growth and development.
